Storm Certificate means, as to any Applicable Storm, a certificate executed by a Responsible Officer of the Borrower certifying that:

  • The Borrower will not permit, as of the last day of any fiscal quarter, the ratio of Consolidated Indebtedness as of such date to Consolidated Adjusted EBITDA for the period of four fiscal quarters ending on such date to exceed 5.00:1.00; provided, however, during a period after the occurrence of a Storm Certificate Effective Date until the applicable Other Covenant Trigger Date, the applicable ratio shall be 5.50:1.00.
