Buyer shall consider in good faith such changes to such Tax Returns as are requested by Seller in writing delivered by Seller to Buyer no later than fifteen (15) days (or three (3) days in the case of any Straddle Period Tax Return relating to non-income Taxes) prior to the due date (including any extension thereof) for the filing of such Straddle Period Tax Return.
To the extent that SWMAC, its Affiliates, SWWC or any SWWC Subsidiary has paid prior to the Closing Date to a Governmental Entity an amount in excess of IIF Subway s share of Taxes for a Straddle Period pursuant to Section 9.1(a), CIUS shall pay to IIF Subway or SWMAC Holdco the amount of such excess within ten (10) days of filing such Straddle Period Tax Return net of any Taxes required to be deducted or withheld under Section 2.3(f).
The Accounting Firm shall make a final determination, which will be binding on both parties, at least five (5) days prior to the due date for filing such Straddle Period Tax Return.
Buyer and Seller shall act in good faith to resolve any such dispute prior to the Due Date of such Straddle Period Tax Return.
If Seller disputes any item on such Straddle Period Tax Return or such calculation of Seller’s share of such Tax liability, it shall notify Buyer in writing (within fifteen (15) days of receipt of such Straddle Period Tax Return and calculation) of such disputed item(s) and the basis for its objection.
