Subordinated Investment definition

Subordinated Investment means the 7.25% unsecured subordinated notes due 2023 issued by Denali to Microsoft Global Finance.
Subordinated Investment means a Portfolio Investment that: (i) is a Debt Security (including convertible debt Securities (other than the “in-the-money” equity component thereon) (a) issued by public or private Issuers, (b) issued without registration under the Securities Act, (c) not issued pursuant to Rule I44A under the Securities Act (or any successor provision thereunder), (d) that are not Cash Equivalents and (e) contractually subordinated in right of payment to other debt of the same Issuer and (ii) that is not a First Lien Debt Investment, a Second Lien Debt Investment, High Yield Debt Security, Last Out Debt Investment or a Covenant Lite Debt Investment.
Subordinated Investment means any Investment held, directly or indirectly, by the Company or one of its Subsidiaries that is subordinated in right of payment to the prior payment in full of a Senior Investment Interest, whether or not such Senior Investment Interest is held by the Company or any of its Subsidiaries.
