Subordination Requirements definition

Subordination Requirements means, with respect to any intercompany loan under which the Borrower or any Guarantor is a borrower, all of the following requirements: (a) such intercompany loan is subordinated to the Loans and the guarantee obligation hereunder (which must be achieved by agreeing that the relevant intercompany loan obligations will be treated as consensually-subordinated bankruptcy claims (yakujo retsugo hasan saiken), consensually-subordinated rehabilitation claims (yakujo retsugo saisei saiken) and consensually-subordinated reorganization claims (yakujo retsugo kosei saiken)), (b) such intercompany loan is non-interest bearing, (c) the loan period for such intercompany loan is no less than 5 years and (d) such intercompany loan shall have no scheduled repayments of the principal during the first 5 years.
Subordination Requirements means that the applicable Indebtedness is expressly subordinated in right of payment to the Obligations on customary terms reasonably satisfactory to the Administrative Agent, which shall include (but not be limited to) that (a) no cash principal payments in respect thereof shall be made prior to the payment in full of the Obligations (other than scheduled amortization payments that are made with the express written consent of the Administrative Agent) and (b) no cash payments shall be made in respect thereof during the existence of an Event of Default; provided that, with respect to restrictions on cash payments with respect to such Indebtedness, the inclusion of restrictions reflecting clauses (a) and (b) shall be deemed satisfactory to the Administrative Agent.
Subordination Requirements means those requirements of Lender separately negotiated between Lender and Subordinate Lender (or other subordinate lenders, as applicable) and providing for the following:

  • Perfection Requirements means the making or procuring of filings, stampings, registrations, notarisations, endorsements, translations and/or notifications of any Finance Document (and/or any Security created under it) necessary for the validity, enforceability (as against the relevant Obligor or any relevant third party) and/or perfection of that Finance Document.

  • Certification Requirements means those requirements specified or referenced in this Agreement that you must meet in order to use and maintain the Certification Designation and use the Logo in accordance with the terms of this Agreement.

  • Perfection Requirement or “Perfection Requirements” shall have the meaning set forth in Section 4(j) of this Agreement.

  • Storage Injection Requirements means all volumes required by the Seller for injection into underground storage, including cushion gas, and for liquification, including fuel used for injection and in liquification plants, or for such other storage projects that may be developed expressly for the protection of supply to high priority users.

  • Data Protection Requirements means (a) Data Protection Laws; (b) Privacy Policies; and (c) Data Protection Orders.
