For the avoidance of any doubt, the Company shall not retain, engage or solicit any additional investment banker, book-runner and/or placement agent in a Subsequent Transaction during the ROFR period referred to above without the express written consent of the Representative.
If the Representative fails to exercise its Right of First Refusal with respect to any Subsequent Transaction within five (5) days after receiving of such written notice, then the Representative shall have no further claim or right with respect to the Subsequent Transaction.
The Representative may elect, in its sole and absolute discretion, not to exercise its Right of First Refusal with respect to any Subsequent Transaction; provided that any such election by the Representative shall not adversely affect the Representative’s Right of First Refusal with respect to any other Subsequent Transaction during the ROFR Period agreed to above.
The Company shall notify the Representative of its intention to pursue a Subsequent Transaction, including the material terms thereof, by providing written notice thereof by registered mail or overnight courier service addressed to the Representative.
