Sunterra Europe definition

Sunterra Europe shall have the meaning set forth in Section 5.01(a).
Sunterra Europe means the Parent's European timeshare business consisting of the entire business and assets of Sunterra Europe (Group Holdings) plc and its Subsidiaries.
Sunterra Europe means Sunterra Europe (Group Holdings) plc, a United Kingdom company.

  • Except as contemplated by this Agreement or set forth in Company Disclosure Schedule 5.04, since December 31, 2006, (a) Sunterra Europe has carried on and operated the European Business in all material respects in the Ordinary Course of Business and (b) there have not been any events, changes or occurrences that have had a European Material Adverse Effect.

  • Except for collection actions arising in the Ordinary Course of Business, or as otherwise set forth on Company Disclosure Schedule 5.08, there is no litigation pending or, to the Knowledge of the Company, threatened against Sunterra Europe or any European Subsidiary.

  • Company Disclosure Schedule 5.06 sets forth a correct and complete list of all insurance policies (including information on the premiums payable in connection therewith and the scope and amount of the coverage provided thereunder) maintained by Sunterra Europe (the “European Policies”).

  • To the Knowledge of the Company, no written notice of cancellation or termination has been received by Sunterra Europe with respect to any of the European Policies.

  • The European Policies (i) have been issued by insurers which, to the Knowledge of the Company, are reputable and financially sound, (ii) provide coverage for the operations conducted Sunterra Europe of a scope and coverage consistent with customary practice in the industries in which Sunterra Europe operates and (iii) are in full force and effect.

  • Except as set forth in Company Disclosure Schedule 5.03, to the Knowledge of the Company, all material Taxes of Sunterra Europe attributable to periods preceding or ending with the date of the Schedule of European Assets/Liabilities have been paid or have been included in a liability accrual for the specific Taxes on the Schedule of European Assets/Liabilities.

  • The Company noted that there could be significant contingent liabilities resulting from such Sunterra Europe issues, although such liabilities had yet to be quantified.

  • At this meeting the Company described certain issues with respect to compliance, deferred maintenance and resort licensing which were highlighted in an operational review of Sunterra Europe.

Sunterra Europe in Section 1.1 of the Existing Loan Agreement is hereby deleted in its entirety. All references to Sunterra Europe in any definition in Section 1.1 of the Existing Loan Agreement are hereby deleted.

  • Crown means the government of the United Kingdom (including the Northern Ireland Assembly and Executive Committee, the Scottish Executive and the National Assembly for Wales), including, but not limited to, government ministers and government departments and particular bodies, persons, commissions or agencies from time to time carrying out functions on its behalf;

  • Finland means the Republic of Finland and, when used in a geographical sense, means the territory of the Republic of Finland, and any area adjacent to the territorial waters of the Republic of Finland within which, under the laws of Finland and in accordance with international law, the rights of Finland with respect to the exploration for and exploitation of the natural resources of the sea bed and its sub-soil and of the superjacent waters may be exercised;

  • Europe means the European Union, the European Economic Area and/or their member states, Switzerland and the United Kingdom.

  • Asia means Australia, China, Hong Kong, India, Indonesia, Japan, Korea, Macau, Malaysia, New Zealand, Philippines, Singapore, Taiwan, and Thailand.

  • Argentina means the Republic of Argentina.

  • Portugal means the territory of the Portuguese Republic situated in the European Continent, the Archipelagoes of Azores and Madeira, the respective territorial sea and any other zone in which, according to Portuguese and International Law, the Portuguese Republic has:

  • EAG clause 35;

  • India means the territory of India and includes the territorial sea and airspace above it, as well as any other maritime zone in which India has sovereign rights, other rights and jurisdiction, according to the Indian law and in accordance with international law, including the U.N. Convention on the Law of the Sea;

  • Sweden means the Kingdom of Sweden and, when used in a geographical sense, includes the national territory, the territorial sea of Sweden as well as other maritime areas over which Sweden in accordance with international law exercises sovereign rights or jurisdiction;

  • PTE means a prohibited transaction class exemption issued by the U.S. Department of Labor, as any such exemption may be amended from time to time.

  • Denmark means the Kingdom of Denmark including any area outside the territorial sea of Denmark which in accordance with international law has been or may hereafter be designated under Danish laws as an area within which Denmark may exercise sovereign rights with respect to the exploration and exploitation of the natural resources of the sea-bed or its subsoil and the superjacent waters and with respect to other activities for the exploration and economic exploitation of the area; the term does not comprise the Faroe Islands and Greenland;

  • Mauritius means the Republic of Mauritius and includes:

  • Cayman Companies Act means the Companies Act (As Revised) of the Cayman Islands.

  • PLC means Programmable Logic Controller;

  • Drop box means a device used for serial or sequential distribution of effluent by gravity flow to a lateral of a soil treatment area.

  • North America means the United States of America and Canada.

  • OpCo has the meaning set forth in the Preamble.

  • France means the European and Overseas Departments of the French Republic including the territorial sea, and any area outside the territorial sea within which, in accordance with international law, the French Republic has sovereign rights for the purpose of exploring and exploiting the natural resources of the seabed and its subsoil and the superjacent waters;

  • Spain means the Kingdom of Spain.

  • Overseas means outside the conti- nental United States, but does not in- clude Alaska, Guam, Hawaii, the Isthmus of Panama, Puerto Rico, or the Virgin Islands.
