Examples of Surviving Person in a sentence
Upon any consolidation or merger, or any transfer of assets in accordance with Condition 17(a) (When Issuer May Merge), the Surviving Person formed by such consolidation or into which the Issuer is merged or to which such transfer is made shall succeed to, and be substituted for, and may exercise every right and power of, the Issuer under the Notes and the Agency Agreement with the same effect as if such Surviving Person had been named as the Issuer herein.
When a Surviving Person duly assumes all of the obligations of the Issuer pursuant hereto and pursuant to the Notes, the predecessor shall be relieved of the performance and observance of all obligations and covenants under the Notes and the Agency Agreement, including but not limited to the obligation to make payment of the principal of and interest, if any, on all the Notes then outstanding, and the Issuer may thereupon or any time thereafter be liquidated and dissolved.
The Surviving Person will succeed to and be substituted for the Company with the same effect as if it has been named in the Indenture as a party thereto, and thereafter the predecessor corporation will be relieved of all obligations and covenants under the Indenture and the Debt Securities.
No notice of redemption pursuant to this Section 5.2 may be given earlier than 90 days prior to the earliest date on which the Surviving Person would be obligated to pay Additional Amounts if a payment in respect of the relevant Notes were then due.
