In the event any Synacor Provider withholds approval, Synacor will provide prompt notice thereof to Client.
Synacor shall not amend, modify or otherwise change the TOU without the consent of Client, which will not be unreasonably withheld or delayed; provided, however, that the terms of the TOU may need to be updated by Client to the extent necessary to comply with the requirements of a Synacor Provider or applicable law.
Either party (the “Terminating Party”) shall have the right to terminate this Agreement immediately as to any particular Content upon notice to the other party: (i) if the Terminating Party reasonably believes the distribution of such Content exposes it to potential legal liability; or (ii) in the event a Synacor Provider or Client Provider ceases to operate a site or produce or distribute such Content.
Client agrees that it will not, and will not assist any third party to register or attempt to register any trademark, trade name or other intellectual property right related to any Synacor Sourced Content or any derivation or adaptation thereof or any work, symbol design or ▇▇▇▇ which is so similar thereto as to suggest a relationship with any Synacor Provider.
If Client chooses to include such Synacor Provider’s Content, then Client shall have the right to enforce the service level requirements set forth in the pertinent Synacor Provider SLA against Synacor as apply to such Synacor Provider vis a vis Synacor under such Synacor Provider SLA and Synacor shall extend fee credits and any other adjustments to Client in amounts or percentages identical to the amounts or percentages to which Synacor may be entitled under such Synacor Provider SLA.
Synacor will not amend, modify or otherwise change the TOU without the consent of Client, which Client may exercise in its sole discretion; provided, however, that the terms of the TOU may be supplemented by Synacor, with the consent of Client following reasonable advance notice, as necessary to comply with the requirements of any Synacor Provider or applicable law.
Client agrees that to the extent a Synacor Provider requires that it be included as a third party beneficiary to the TOU, Client will include such required language in the TOU.
In connection with Synacor Sourced Content distributed pursuant to this Agreement, without the prior submission to Synacor of any relevant materials which Synacor may request (including but not limited to web pages) and unless Client has obtained Synacor’s written approval, Client will not use the name, logo or any of the proprietary marks of any Synacor Provider in any sales, advertising or marketing materials.
Likewise and except for the Synacor Premium Product defined in Section (3)(a)(i) below, Synacor shall reduce its fees charged to Client as set forth below for Synacor Premium Products in direct proportion to any reduction in fees charged Synacor by Synacor Providers in the calendar month following such Synacor Provider reduction.
Synacor or the applicable Synacor Provider will host the Synacor Sourced Premium Content Products.
