Tail Gas or “TG” shall mean exhaust gas from the Claus trains and/or the tail gas cleanup unit (“TGU”) section of the SRP.

Tail Gas means tail gas described in Exhibit B under the heading “Tail Gas,” all within the tolerances and in compliance with the specifications therein contained.

• The transactions contemplated by this Agreement will not conflict with, result in any breach of any provision of or constitute a default under any material agreement, obligation or other instrument to which such Seller is a party or by which it is bound, conflict with any law, rule or regulation, order, judgment or decree that applies to or to which such Seller is subject, or require the consent of any third party (other than lender consents that have already been obtained and are currently effective).

• The Tail Gas consists of only the carbon dioxide, moisture and trace contaminant components separated from the biogas by the BMS.

• Following the initial four-year period, the price for Tail Gas will be computed by taking the Btu Content of the monthly flow of the Tail Gas multiplied by the Fuel Price.
