The amount, if any, by which Target Closing Working Capital exceeds Estimated Closing Working Capital shall be referred to herein as the “Estimated Working Capital Deficit”.
For the avoidance of doubt, any dividend or other distribution of Cash by the Company, or any conversion of any asset of any Company Party that is not a current asset, shall not affect the Target Closing Working Capital or Sellers’ obligations under Section 2.4.
The post-closing adjustment shall be an amount equal to the Closing Working Capital minus the Target Closing Working Capital plus the Excess Cash, if any (the “Post-Closing Adjustment”).

If the Estimated Closing Working Capital is less than the Target Working Capital, the Initial Consideration and the Purchase Price shall be decreased by an amount equal to the amount by which the Target Closing Working Capital exceeds the Estimated Closing Working Capital.
