Examples of Target Vendor Certificate in a sentence

  • Unless a Target Vendor has delivered a Target Vendor Certificate, each such Target Vendor represents and warrants that such Target Vendor is not a U.S. Person and was not in the United States at the time of execution of this Agreement.

  • To evidence each Target Vendor’s approval of the Agreement and such Target Vendor’s eligibility for such exemptions, such Target Vendor agrees to deliver to the Purchaser a fully completed and executed certificate in the form attached at Schedule B (the “Target Vendor Certificate”), and agrees that the representations and warranties set out in the Target Vendor Certificate as executed by such Target Vendor will be true and complete as at the Closing.

  • Senior Certificate As defined in the Series Supplement.

  • Investor Certificate means any one of the certificates (including, without limitation, the Bearer Certificates, the Registered Certificates or the Global Certificates) executed by the Transferor and authenticated by the Trustee substantially in the form (or forms in the case of a Series with multiple classes) of the investor certificate attached to the related Supplement.

  • Buyer Certificate means a certificate to the effect that each of the conditions specified in clauses (a) through (c) (insofar as clause (c) relates to Legal Proceedings involving the Buyer) of Section 5.2 is satisfied in all respects.
