Tax Withholding Amount definition

Tax Withholding Amount means the amount, if any, which, upon the exercise of an Option or an election by a Participant under Section 83(b) of the Code, the Company or a Subsidiary may be required to withhold in order to obtain a federal and/or state income tax deduction, such amount which shall be paid to the Company by the Participant.
Tax Withholding Amount shall have the meaning set forth in Clause 11.3.

Tax Withholding Amount has the meaning ascribed to it in Section 2.7(a).

To the extent that amounts are so withheld and timely paid to the IRS in accordance with applicable law, such withheld amounts shall be treated for all purposes of this Agreement as having been paid to Venator Partner.
