The Merger shall have the effects, including with respect of the foregoing, set forth in this Agreement, the Certificates of Merger and the applicable provisions of the DLLCA and the TBOC.
To the fullest extent authorized or permitted by the TBOC, no present or former member or officer of the Company shall be liable to the Company or to any other member or any officer of the Company or to any other person bound by this Agreement.
