Term B Closing Date Funding Fee has the meaning specified in Section 2.09(c).
Funding Date is any date on which a Credit Extension is made to or for the account of Borrower which shall be a Business Day.
Delayed Draw Funding Date means the date occurring on or after the Effective Date upon which all of the conditions to funding the Delayed Draw Term Loan set forth in Section 6.02 are satisfied and the Delayed Draw Term Loan is funded.
Incremental Facility Closing Date has the meaning set forth in Section 2.14(d).
Closing Date Term Loan Commitment means the commitment of each Lender to make Term Loans on the Closing Date hereunder in an aggregate principal amount not to exceed the amount set forth under the heading “Closing Date Term Loan Commitment” opposite its name in Schedule 2.01 hereto. The aggregate amount of the Closing Date Term Loan Commitments as of the Closing Date is $1,150,000,000.
Closing Date Term Loan has the meaning specified in Section 2.01(a).
Closing Date Term Loans means the Term Loans made by the Term Lenders on the Closing Date to the Borrower pursuant to Section 2.01(1).
Tranche C Term Loan as defined in Section 2.1.
Class B Final Scheduled Payment Date means the Payment Date occurring in June 2021.
Class A-2 Final Scheduled Payment Date means the Payment Date occurring in February 2020.
Closing Date Payment has the meaning set forth in Section 2.04(a)(i).
Class C Final Scheduled Payment Date means the Payment Date occurring in December 2024.
Closing Date Cash means Company Cash as of 11:59 P.M. on the date immediately prior to the Closing Date.
Loan Closing Date means the date upon which the Loan is made to the Company.
Additional Closing Date has the meaning set forth in Section 3.
Initial Funding Date means the Funding Date on which the first Loan is made pursuant to this Agreement, as specified in the Initial Borrower Funding Request.
Tranche C Loan means an extension of credit by a Lender to TFA under Article II. Except as provided in Section 2.16(c), Tranche C Loans shall be denominated in Australian Dollars.
Class A-3 Final Scheduled Payment Date means the Payment Date occurring in April 2027.
Delayed Draw Term Loan Commitment Termination Date means the earliest to occur of (i) December 31, 2008, (ii) the date the Delayed Draw Term Loan Commitments are permanently reduced to zero pursuant to Section 2.1, and (iii) the date of the termination of the Delayed Draw Term Loan Commitments pursuant to Section 11.1.
Class A-1 Final Scheduled Payment Date means the Payment Date occurring in August 2024.
Initial Loan is defined in Section 2.1.
Original Pre-Funded Amount The amount deposited by the Depositor in the Pre-Funding Account on the Closing Date, which amount is $36,215,225.
Closing Date Purchase Price shall have the meaning set forth in Section 2.1 hereof.
Class D Final Scheduled Payment Date means the Payment Date occurring in April 2021.
Tranche B Term Loan as defined in Section 2.1.
Tranche B Term Loan Maturity Date means June 30, 2022.
Incremental Loan has the meaning set forth in Section 2.14(b).
