Examples of Term of Support in a sentence
In the event of termination of Software Support, all Software Support Fees payable for the entire Term of Support, as applicable, shall without notice or demand by Questionmark immediately become due and payable, and Questionmark’ obligations for Software Support shall immediately end.
The software and Server Configuration covered under Software Support and the Term of Support will be as indicated on the Order.
The support services provided to the Customer during the Term of Support are determined by the level of support purchased by the Customer (“Support Level” or “Level”).
Unless otherwise specified on an Applicable Invoice, the initial Term of Support shall commence on the Commencement Date and shall continue for one (1) year, after which it shall renew for additional one (1) year terms unless terminated by either party at the end of the initial or an additional annual term on having provided written notice to the other party not less than ninety (90) days prior to the end of the current initial or additional term.
During the Term of Support, the Distribution Coverage for each applicable quarter is to be calculated assuming that Total Distributions for such quarter equal an amount in cash sufficient to pay all equity holders including incentive distributions for the period for which distributions are declared a distribution of $0.5175 per unit.
Except to the extent otherwise expressly stated therein, if an applicable Order Form or SOW provides for payment via credit card or electronic money transfer (e.g., ACH), Standards Digital is permitted to process such payment on the date of Standards Digital invoice and any renewal subscription term(s) as set forth in section “9.2 Term of Support & Maintenances” below.
PLEASE CAREFULLY REVIEW THESE AUTOMATIC RENEWAL TERMS: Unless otherwise set forth in the applicable Order Form, or unless the Order Form is terminated in accordance with this Support and Maintenance Agreement, Term of Support & Maintenance will automatically renew for additional periods equal to the expiring term or one year (whichever is shorter), unless either party gives the other Three months’ written notice before the end of the relevant subscription term (email acceptable).
Questionmark may change the Fees and/or terms and conditions on ninety (90) days’ notice to Customer but no such change shall be effective prior to the end of the then current Term of License or Term of Support, as applicable.
If the Initial Term is less than 12 months, the fee for the Initial Term of Support will be prorated accordingly.
During the Term of Support, Questionmark will correct or replace software and/or provide services necessary to remedy or avoid any programming error, to the extent such programming error is caused by Questionmark, and which significantly affects use of the software.
