Capital Increase has the meaning set out in Clause 3.2.4(iii).
Minimum capital or "minimum required capital" means the capital that must be constantly maintained by a stock insurance corporation as required by statute.
Incremental Increase has the meaning specified in Section 2.16(a).
Barclays Capital means Barclays Capital, the investment banking division of Barclays Bank PLC.
Equity Capital means and includes (i) any and all ordinary shares, stock or other common or ordinary equity shares, interests, participations or other equivalents of or interests therein (however designated), including, without limitation, shares of preferred or preference shares, (ii) all partnership interests (whether general or limited) in any Person which is a partnership, (iii) all membership interests or limited liability company interests in any limited liability company, and (iv) all equity or ownership interests in any Person of any other type.
Commitment Increase has the meaning specified in Section 2.18(a).
Net Capital means, at any time, "net capital" computed in accordance with Rule 15c3-1.
Commitment Increase Date has the meaning assigned to such term in Section 2.08(e).
Capital investment means an investment in real property, personal property, or both, at a
Commitment Increase Agreement has the meaning assigned to such term in Section 2.20.
Commitment Increase Notice has the meaning assigned to such term in Section 2.19.
SBIC Equity Commitment means a commitment by the Borrower to make one or more capital contributions to an SBIC Subsidiary.
Liquidity Capitalization means the number, as of immediately prior to the Liquidity Event, of shares of the Company’s capital stock (on an as-converted basis) outstanding, assuming exercise or conversion of all outstanding vested and unvested options, warrants and other convertible securities, but excluding: (i) shares of Common Stock reserved and available for future grant under any equity incentive or similar plan; (ii) any SAFEs; and (iii) convertible promissory notes.
Incremental Revolving Increase has the meaning set forth in Section 2.16(a).
Commitment Increase Supplement as defined in subsection 2.20(c).
Term Loan Increase has the meaning set forth in Section 2.14(a).
Interim Capital Transactions means the following transactions if they occur prior to the Liquidation Date: (a) borrowings, refinancings or refundings of indebtedness and sales of debt securities (other than Working Capital Borrowings and other than for items purchased on open account in the ordinary course of business) by any Group Member; (b) sales of equity interests by any Group Member (including the Common Units sold to the Underwriters pursuant to the exercise of the Over-Allotment Option); and (c) sales or other voluntary or involuntary dispositions of any assets of any Group Member other than (i) sales or other dispositions of inventory, accounts receivable and other assets in the ordinary course of business, and (ii) sales or other dispositions of assets as part of normal retirements or replacements.
Incremental Term Loan Facility has the meaning set forth in Section 2.16(a).
Annual increase means, initially, fifty-nine cents per month
Liquidity Commitment means, with respect to each Liquidity Bank, its commitment to make Liquidity Fundings pursuant to the Liquidity Agreement to which it is a party.
Incremental Commitment means an Incremental Term Loan Commitment or an Incremental Revolving Facility Commitment.
Equity Commitment means (a) options, warrants, convertible securities, exchangeable securities, subscription rights, conversion rights, exchange rights, or other Contracts that could require a Person to issue any of its Equity Interests or to sell any Equity Interests it owns in another Person; (b) any other securities convertible into, exchangeable or exercisable for, or representing the right to subscribe for any Equity Interest of a Person or owned by a Person; (c) statutory pre-emptive rights or pre-emptive rights granted under a Person's Organizational Documents; and (d) stock appreciation rights, phantom stock, profit participation, or other similar rights with respect to a Person.
Aggregate Capital means, on any date of determination, the aggregate amount of Capital of all Purchaser Interests outstanding on such date.
CET1 Capital means at any time, the common equity tier 1 capital of the Company or the Group, respectively, as calculated in accordance with Chapter 2 (Common Equity Tier 1 Capital) of Title I (Elements of own funds) of Part Two (Own Funds and Eligible Liabilities) of the CRR and/or Applicable Banking Regulations at such time, including any applicable transitional, phasing in or similar provisions.
