  • Once a Shelf Registration Statement has been declared effective, the THL Party and the Advent Party may request, and the Company shall be required to facilitate, an unlimited number of Shelf Underwritings with respect to such Shelf Registration Statement.

  • The Company hereby grants the THL Party permission to use the Company’s and its Subsidiaries’ name and logo in marketing materials.

  • Financing Party means any and all Persons, or the agents or trustees representing them, providing senior or subordinated debt or tax equity financing or refinancing (including letters of credit, bank guaranties or other credit support).
