Threshold EVA definition

Threshold EVA means the level of EVA performance below which there will be no Award.
Threshold EVA means the minimum EVA of TTC for which a Quantitative
Threshold EVA means the minimum EVA of TTC for which a Quantitative Bonus will be paid, as determined by the Committee pursuant to subsection 1 of Section III.

Examples of Threshold EVA in a sentence

  • If the Company fails to achieve the Threshold EVA in the subsequent two years, the withheld amounts are forfeited.

  • Payment of the withheld Award shall be made over the two years immediately subsequent to the Performance Plan Year (50% of the withheld year in the first subsequent year and 50% in the second subsequent year) if the Company reaches the Threshold EVA in the subsequent years.

  • No Award will be granted if the Company's overall performance is below Threshold EVA or if a Participant's individual performance is unsatisfactory, as determined by the Committee in its sole discretion, upon the recommendation of the Chief Executive Officer.

  • If the achieved EVA level for TTC for a given Covered Year is less than the Threshold EVA set for TTC for that year, no Quantitative Bonuses with respect to the performance of TTC shall be paid.

  • No Award will be granted if the Company's overall performance is below the Threshold EVA established by the Committee for the Performance Year, or if a Participant's individual performance is unsatisfactory, as determined by the Committee in its sole discretion.

  • Threshold EVA Improvement for each Area/Location will be determined by the applicable Group Vice President, subject to review by Allwaste's Senior Vice President of Operations.

  • If Ball Packaging Europe exceeds the Threshold EBIT Goal and the Threshold EVA Goal for none of the Performance Periods, or if you are not continuously employed full time by the Company as provided above from January 1, 2003, until the close of a Performance Period for which Ball Packaging Europe exceeds the Threshold EBIT Goal or the Threshold EVA Goal, you will not be paid any amount of money pursuant to this Plan, unless paragraph 4 below expressly provides otherwise.

  • The payment of the withheld Award (the "Banked Award") shall not become vested until earned in the subsequent years and shall be earned and paid over the two years immediately subsequent to the Performance Plan Year, 50% of the Banked Award shall be earned in the first subsequent year and 50% in the second subsequent year if the Company reaches the Threshold EVA respectively for each of the subsequent years.

  • If the Company fails to achieve the applicable Threshold EVA in one of the two subsequent years, the withheld amounts that would have been payable for that year shall not be earned and will be forfeited.

Related to Threshold EVA

  • Threshold means, with respect to Party B and any Valuation Date, infinity.

  • Threshold Rating means the short-term unsecured debt rating of P-1 by Moody's and A-1 by Standard & Poor's.

  • Threshold Period shall have the meaning set forth in Section 6(d).

  • Dividend Threshold Amount has the meaning set forth in Section 5.04(a).

  • Threshold Price is the lowest price (except to the extent otherwise provided in Section 2.6) at which the Company may sell Shares during the applicable Pricing Period as set forth in a Fixed Request Notice (not taking into account the applicable percentage discount during such Pricing Period determined in accordance with Section 2.2); provided, however, that at no time shall the Threshold Price be lower than $3.00 per share unless the Company and the Investor mutually shall agree.

  • Threshold Event Cure shall have the meaning assigned to such term in Section 5(g).

  • Threshold Appreciation Price has the meaning specified in Section 5.1.

  • Threshold Percentage means 15%.

  • VWAP Minimum Price Threshold means, with respect to any particular VWAP Purchase Notice, the Sale Price on the VWAP Purchase Date equal to the greater of (i) 80% of the Closing Sale Price on the Business Day immediately preceding the VWAP Purchase Date or (ii) such higher price as set forth by the Company in the VWAP Purchase Notice.

  • Alteration Threshold means, with respect to each Individual Property, five percent (5%) of the original Allocated Loan Amount (as defined in the Mortgage Loan Agreement) of such Individual Property.

  • Bid threshold means the dollar amount set in N.J.S.A. 18A:18A-3, above which a Board shall advertise for and receive sealed bids in accordance with procedures set forth in N.J.S.A. 18A:18A-1 et seq.

  • Minimum Threshold means the average daily yield on the 10 Year Treasury Note (as reported in the Bloomberg GT10 index) over the Award Period.

  • M2 Target Amount For any Distribution Date, an amount equal to the lesser of (a) the product of (1) 75.40% and (2) the Aggregate Pool Balance for such Distribution Date determined as of the last day of the related Collection Period and (b) the amount, if any, by which (1) the Aggregate Pool Balance for such Distribution Date determined as of the last day of the related Collection Period exceeds (2) the Overcollateralization Floor.

  • M3 Target Amount With respect to any Distribution Date, an amount equal to the lesser of (a) the product of (i) 85.50% and (ii) the Pool Balance for such Distribution Date and (b) the amount, if any, by which (i) the Pool Balance for such Distribution Date exceeds (ii) 0.50% of the Cut-off Date Balance.

  • M4 Target Amount With respect to any Distribution Date, an amount equal to the lesser of (a) the product of (i) 95.30% and (ii) the Aggregate Loan Balance for such Distribution Date determined as of the last day of the related Collection Period and (b) the amount, if any, by which (i) the Aggregate Loan Balance for such Distribution Date determined as of the last day of the related Collection Period exceeds (ii) 0.50% of the Cut-off Date Balance.

  • M5 Target Amount With respect to any Distribution Date, an amount equal to the lesser of (a) the product of (i) 94.50% and (ii) the Aggregate Pool Balance for such Distribution Date determined as of the last day of the related Collection Period and (b) the amount, if any, by which (i) the Aggregate Pool Balance for such Distribution Date determined as of the last day of the related Collection Period exceeds (ii) the Targeted Overcollateralization Amount for such Distribution Date.

  • Minimum Takedown Threshold shall have the meaning given in Section 2.1.4.

  • Senior Target Amount With respect to each Distribution Date, an amount equal to the lesser of (a) the product of (i) 77.30% and (ii) the Aggregate Loan Balance for such Distribution Date determined as of the last day of the related Collection Period and (b) the amount, if any, by which (i) the Aggregate Loan Balance for such Distribution Date determined as of the last day of the Collection Period exceeds (ii) 0.50% of the Cut-off Date Balance.

  • M1 Target Amount With respect to any Distribution Date, an amount equal to the lesser of (a) the product of (i) 70.00% and (ii) the Pool Balance for such Distribution Date and (b) the amount, if any, by which (i) the Pool Balance for such Distribution Date exceeds (ii) 0.50% of the Cut-off Date Balance.

  • Diversity Score means, as of any day, a single number that indicates collateral concentration in terms of both issuer and industry concentration, calculated as set forth in Schedule 7 hereto, as such Diversity Scores shall be updated at the option of the Administrative Agent in its sole discretion if Xxxxx’x publishes revised criteria.

  • Restoration Threshold means with respect to each Individual Property, five percent (5%) of the original Allocated Loan Amount of such Individual Property.

  • Minimum Weighted Average Coupon Test means a test that will be satisfied on any Measurement Date if the Weighted Average Coupon equals or exceeds 7.0%.

  • Threshold Amount means $50,000,000.

  • Performance Target means the level of performance expected of the HSP in respect of a Performance Indicator or a Service Volume; “person or entity” includes any individual and any corporation, partnership, firm, joint venture or other single or collective form of organization under which business may be conducted;
