Threshold Sales definition

Threshold Sales means Gross Sales, reduced only by, without duplication, to the extent included in the calculation of Gross Sales, (i) returns of Goods and Services; (ii) sales, value-add, use, excise, duties, tariffs, or similar taxes collected from customers as a separately delineated part of the sale price for Goods and Services; and (iii) shipping and handling (and related insurance) revenue, in each case collected from customers as a separately delineated part of the sale price for Goods and Services.
Threshold Sales means, with respect to any Contingent Payment Period, the first $80 million of Net Sales during such period; provided, if the first Contingent Payment Period is less than 365 days, the Threshold Sales for such Contingent Payment Period will equal the product of $80 million and the fraction, the numerator of which shall equal the number of days in such Contingent Payment Period, and the denominator of which shall equal 365.

Examples of Threshold Sales in a sentence

  • If actual Sales Growth for the Performance Period is between the Threshold Sales Growth Goal and the Target Sales Growth Goal, or between the Target Sales Growth Goal and the Maximum Sales Growth Goal, the number of Sales-Based PSUs that will be earned and eligible to vest will be determined by linear interpolation.

  • To the extent that Landlord provides Food Service hereunder for less than a one year period (e.g., due to a termination by Tenant under Section 7.2.3, below), Landlord shall deliver a statement covering the subject less than one year period, and Tenant shall pay the Tenant Food Service Subsidy (provided that in such case, the Threshold Sales Amount shall be proportionately reduced to reflect the period covered by the subject statement of Gross Sales).

  • As used herein, the Reporting Period shall initially be a six month period beginning on April 1st and October 1st of each year; provided, however, that if and when cumulative Net Sales Revenue from Panasonic Idemitsu’s worldwide sales or other disposition of Licensed Products exceeds the Threshold Sales Amount, the Reporting Period shall become a three month period beginning on January 1st, April 1st, July 1st and October 1st of each year.

  • Upon payment in full of the license fee to Universal Display, the license rights granted hereunder shall be fully paid-up for Panasonic Idemitsu’s worldwide sales or other disposition of Licensed Products for cumulative Net Sales Revenue up to the Threshold Sales Amount.

  • If and when cumulative Net Sales Revenue exceeds the Threshold Sales Amount, Panasonic Idemitsu shall pay to Universal Display running royalties at a rate of [***] percent [***] on account of Net Sales Revenue from Panasonic Idemitsu’s worldwide sales or other disposition of Licensed Products in excess of the Threshold Sales Amount.

  • Actual sales will be measured against the Threshold Sales levels only after the close of a complete calendar year and sales data from the last month of the year is determined.

  • Avanir will have the option of curing the failure to meet Threshold Sales by paying the additional monies necessary that would equal the minimum royalty amount due for any and all Products and indications at any time prior to expiration of the 90 day cure period.

  • Bid threshold means the dollar amount set in N.J.S.A. 18A:18A-3, above which a Board shall advertise for and receive sealed bids in accordance with procedures set forth in N.J.S.A. 18A:18A-1 et seq.
