Tier 1 Award definition

Tier 1 Award means a settlement award of up to $3,000.00 (subject to reduction by virtue of the Cap) to be paid in respect of a Tier 1 Claim in accordance with the terms of the Agreement.
Tier 1 Award has the meaning ascribed thereto in Section 2.05(B)(1). “Tier 2 Award” has the meaning ascribed thereto in Section 2.05(B)(2). “Tier 1 Claim” has the meaning ascribed thereto in Section 2.05(A)(1). “Tier 2 Claim” has the meaning ascribed thereto in Section 2.05(A)(2).
Tier 1 Award means an Award granted to a Tier 1 Participant.

Examples of Tier 1 Award in a sentence

  • If you are a class member and you didn’t receive a Notice by mail or email with a Claimant ID Number on the upper left-hand corner, to receive a Tier 1 Award you must submit a Statement of Class Membership attesting to facts demonstrating you are a member of the class.

  • Any Settlement Class Member who submits a claim for a Tier 2 Award that is not approved or that is approved in an amount that is less than the amount the Settlement Class Member would otherwise receive as a Tier 1 Award will instead receive a Tier 1 Award.

  • A Participant’s Tier 1 Award shall fully vest if all of the following events happen: (i) the Participant remains continuously employed by the Company or its Affiliates from the Grant Date through the consummation of a Change in Control, and (ii) the Participant’s employment with the Company and its Affiliates is terminated by the Company without Cause, by the Company as a result of the Participant’s Disability, or by the Participant’s death, prior to the applicable vesting date.

  • PARTICIPANTS Each Management Employee who has been credited with deferred compensation as a result of receiving a Tier 1 Award under Section 6 of the United Foods, Inc.

  • Any Settlement Class Member who submits a claim for a Tier 2 Award and that claim is not approved or the portion of the claim that is approved is less than the amount the Settlement Class Member would otherwise receive as a Tier 1 Award will instead receive a Tier 1 Award.

  • Total number of hours spent on the Data Incident: Note: Any Settlement Class Member who submits a claim for a Tier 2 Award and that claim is not approved or the portion of that claim that is approved is less than the amount the Settlement Class Member would otherwise receive as a Tier 1 Award will instead receive a Tier 1 Award.

  • The Tier 1 Award shall be counted against any further award, but under no circumstances will a Settlement Class Member be required to return a Tier 1 Award.

  • A Settlement Class Member who accepts a Tier 1 Award remains eligible to make a Tier 2 or Tier 3 Claim.

Related to Tier 1 Award

  • 3(i) Award means an Award granted pursuant to Section 3(i) of the Ordinance to any person who is a Non- Employee.

  • Target Award means the target award, at 100% of target level performance achievement, payable under the Plan to a Participant for the Performance Period, as determined by the Committee in accordance with Section 3(b).

  • LTIP Award means each or any, as the context requires, LTIP Award issued under any Equity Incentive Plan.

  • Annual Incentive Award means an Award made subject to attainment of performance goals (as described in Section 14) over a performance period of up to one year (the Company’s fiscal year, unless otherwise specified by the Committee).

  • Incentive Award means the right to receive a cash payment to the extent Performance Goals are achieved, and shall include “Annual Incentive Awards” as described in Section 10 and “Long-Term Incentive Awards” as described in Section 11.

  • Section 162(m) Award means a Performance Award granted under Section 6(k)(i) to a Covered Employee that is intended to satisfy the requirements for “performance-based compensation” within the meaning of Section 162(m).

  • Performance Award means any right granted under Section 6(d) of the Plan.

  • Qualifying Performance Criteria means any one or more of the following performance criteria, either individually, alternatively or in any combination, applied to either the Company as a whole or to a business unit, Parent, Subsidiary or business segment, either individually, alternatively or in any combination, and measured either annually or cumulatively over a period of years, on an absolute basis or relative to a pre-established target, to previous years’ results or to a designated comparison group, and on a pre-tax or after-tax basis, in each case as specified by the Committee in the Award: (i) cash flow (including operating cash flow or free cash flow); (ii) earnings (including gross margin, earnings before interest and taxes, earnings before taxes, and net earnings); (iii) earnings per share; (iv) growth in earnings or earnings per share; (v) stock price; (vi) return on equity or average stockholders’ equity; (vii) total stockholder return; (viii) return on capital; (ix) return on assets or net assets; (x) return on investment; (xi) revenue; (xii) income or net income; (xiii) operating income or net operating income; (xiv) operating profit or net operating profit; (xv) operating margin; (xvi) return on operating revenue; (xvii) market share; (xviii) contract awards or backlog; (xix) overhead or other expense reduction; (xx) growth in stockholder value relative to the moving average of the S&P 500 Index or a peer group index; (xxi) credit rating; (xxii) strategic plan development and implementation (including individual performance objectives that relate to achievement of the Company’s or any business unit’s strategic plan); (xxiii) improvement in workforce diversity; (xxiv) expenses; (xxv) economic value added; (xxvi) product quality; (xxvii) number of customers; (xxviii) objective customer indicators; (xxix) customer satisfaction; (xxx) new product invention or innovation; (xxxi) profit after taxes; (xxxii) pre-tax profit; (xxxiii) working capital; (xxxiv) sales; (xxxv) advancement of the Company’s product pipeline; (xxxvi) consummation of strategic transactions; (xxxvii) reduction in cash utilization; and (xxxviii) addition of technologies and products. The Committee may appropriately adjust any evaluation of performance under a Qualifying Performance Criteria to exclude any of the following events that occurs during a performance period: (A) asset write-downs; (B) litigation or claim judgments or settlements; (C) the effect of changes in tax law, accounting principles or other such laws or provisions affecting reported results; (D) accruals for reorganization and restructuring programs; and (E) any gains or losses classified as extraordinary or as discontinued operations in the Company’s financial statements.

  • Performance Stock Award means a Stock Award granted under the terms and conditions of Section 6(c)(i).

  • Qualified Performance-Based Award means an Award intended to qualify for the Section 162(m) Exemption, as provided in Section 11.

  • Performance Award Formula means, for any Performance Award, a formula or table established by the Committee pursuant to Section 10.3 which provides the basis for computing the value of a Performance Award at one or more levels of attainment of the applicable Performance Goal(s) measured as of the end of the applicable Performance Period.

  • Performance Unit Award means an Award granted under Article XI of the Plan under which, upon the satisfaction of predetermined Performance Goals, a cash payment shall be made to the Holder, based on the number of Units awarded to the Holder.

  • Performance Stock Unit means a right granted to a Participant pursuant to Section 8.2, to receive Stock, the payment of which is contingent upon achieving certain Performance Goals or other performance-based targets established by the Committee.

  • Performance-Based Award means any Restricted Stock Award, Restricted Stock Units, Performance Share Award or Cash-Based Award granted to a Covered Employee that is intended to qualify as “performance-based compensation” under Section 162(m) of the Code and the regulations promulgated thereunder.

  • Performance-Based Cash Award means a cash Award under Article XI of this Plan that is payable or otherwise based on the attainment of certain pre-established performance goals during a Performance Period.

  • Performance Compensation Award means any Award designated by the Committee as a Performance Compensation Award pursuant to Section 11 of the Plan.

  • Performance Share Award means an Award entitling the recipient to acquire shares of Stock upon the attainment of specified Performance Goals.

  • Cash Award means an award denominated in cash.

  • Full Value Award means an Award other than in the form of an ISO, NQSO, or SAR, and which is settled by the issuance of Shares.

  • option-based award means an award under an equity incentive plan of options, including, for greater certainty, share options, share appreciation rights, and similar instruments that have option-like features;

  • Cash Performance Award means an Award that is denominated by a cash amount to an Eligible Person under Section 10 hereof and payable based on or conditioned upon the attainment of pre-established business and/or individual Performance Goals over a specified performance period.

  • Performance Share Unit or “PSU” means a unit equivalent in value to a Share, credited by means of a bookkeeping entry in the books of the Corporation in accordance with Article 6;

  • Bonus Award means a bonus award made pursuant to Section 9.

  • Performance Cash Award means an award of cash granted pursuant to the terms and conditions of Section 6(c)(ii).

  • Award Value means the value, in dollars, of an award made to a Participant and as stated in the applicable Award Agreement, which is provided under the Plan in the form of PSUs or RSUs, as the case may be.
