Timber Business definition

Timber Business means that portion of the Business relating to the ownership, operation, maintenance and harvesting of the Timberlands and the use or sale of products derived therefrom.
Timber Business means the commercial timberland operations of the Company to be acquired from Scotia Pacific Company LLC pursuant to its reorganization in bankruptcy.

  • For the avoidance of doubt, in no event shall Seller or any of its Affiliates be entitled under this Agreement, the Exhibits or any other agreement or instrument referenced herein or therein to make any claim against, or seek recovery from, by or through (i) any of Purchaser’s Timber Entities for matters Related to the Paper Business or (ii) any of Purchaser’s Paper Entities for matters Related to the Timber Business.

  • Purchaser and Seller acknowledge, understand and agree that, unless Purchaser otherwise notifies Seller in writing, it is Purchaser’s intention to operate the Paper Business and Timber Business as separate businesses from and following the Closing Date.

  • In the event any payments are to be made to MWV under Section 2.3 of the Purchase Agreement, Escanaba shall be solely responsible for such payments as they relate to the Timber Business and NewPage shall be solely responsible for all payments as they relate to the Paper Business.

  • Any statements or other items prepared and delivered to MWV that constitute Section 2.3 Deliverables shall include an allocation showing the classification of each item into two categories – one relating to the Timber Business and one relating to the Paper Business.

  • Escanaba and NewPage agree that all fees, costs and expenses incurred by the Purchaser in connection with the negotiation, diligence, execution and financing of the transactions contemplated by the Purchase Agreement, to the extent related to the acquisition and financing of the Timber Business, shall be borne exclusively by Escanaba and, to the extent related to the acquisition and financing of the Paper Business, shall be borne exclusively by NewPage.

  • SUBLESSEE shall have the right, at its sole cost and expense, to be identified in the directory of Timber Business Park, subject to the reasonable rules and regulations of the OVERLANDLORD and the space limitations of Timber Business Park and any applicable law or ordinance.

  • SUBLESSEE shall conduct its business in and use the DEMISED PREMISES in a lawful manner and shall not use or permit the use of the DEMISED PREMISES or the common areas in any manner that will tend to create waste or a nuisance or shall tend to disturb other occupants of the Timber Business Park.

Related to Timber Business

  • Former Business means any corporation, partnership, entity, division, business unit, business or set of business operations that has been sold, conveyed, assigned, transferred or otherwise disposed of or divested (other than solely in connection with the Restructuring), in whole or in part, or the operations, activities or production of which has been discontinued, abandoned, liquidated, completed or otherwise terminated, in whole or in part, in each case, by either Group prior to the Distribution Time.

  • Other Business(es) means any business activity we or our Affiliates engage in, other than the licensing of the Hotel.

  • Business concern or business means a business that has annual gross sales of less than $75,000,000 as evidenced by the federal income tax return of the business. A firm with gross sales in excess of this cap may apply to the Council for certification for a particular contract if the firm can demonstrate that the contract would have significant impact on businesses owned by minorities, women, or persons with disabilities as suppliers or subcontractors or in employment of minorities, women, or persons with disabilities.
