TIME EXTENSION EVENT definition

TIME EXTENSION EVENT means any of the following events: (i) any person (other than Parent or any Parent Subsidiary) shall have commenced (as such term is defined in Rule 14d-2 under the Exchange Act), or shall have filed a registration statement under the Securities Act with respect to, a Tender Offer; or (ii) Any person (other than Parent or any Parent Subsidiary) shall have acquired beneficial ownership (as such term is defined in Rule 13d-3 promulgated under the Exchange Act) of or has the contractual right to acquire beneficial ownership of, or any “group” (as such term is defined in Section 13(d)(3) of the Exchange Act) shall have been formed which beneficially owns or has the contractual right to acquire beneficial ownership of, 15% or more of the then outstanding shares of Company Common Stock; or (iii) following the public announcement of an Acquisition Proposal, the holders of Company Common Stock shall not have approved this Agreement at the meeting of such stockholders held for the purpose of voting on this Agreement; or (iv) following the occurrence of an Acquisition Proposal: (A) the meeting of Company stockholders held for the purpose of voting on this Agreement shall not have been held in violation of the Company’s obligations set forth in Section 7.02 hereof, or shall have been canceled prior to termination of this Agreement, (B) the Company Board shall have withdrawn or modified in a manner adverse to Parent the recommendation of the Company Board with respect to this Agreement and the Merger, or (C) the Company shall have willfully or intentionally breached any representation, warranty, covenant or obligation contained in this Agreement and such breach would entitle Parent to terminate this Agreement under Section 9.01(d) hereof (without regard to the cure period provided for therein unless such cure is promptly effected without jeopardizing consummation of the Merger pursuant to the terms of this Agreement).
TIME EXTENSION EVENT has the meaning set forth in Section 9.03(b).
TIME EXTENSION EVENT means any of the following events: (a) any person (other than 1855 Bancorp or any 1855 Bancorp Subsidiary) shall have commenced (as such term is defined in Rule 14d-2 under the Exchange Act), or shall have filed a registration statement under the Securities Act with respect to, a tender offer or exchange offer to purchase any shares of Sandwich Common Stock such that, upon consummation of such offer, such person would own or control 10% or more of the then outstanding shares of Sandwich Common Stock (such an offer being referred to herein as a "Tender Offer" and an "Exchange Offer," respectively); or (b) following the public announcement of an Acquisition Proposal, the holders of Sandwich Common Stock shall not have approved this Agreement at the meeting of such stockholders held for the purpose of voting on this Agreement (the term "Acquisition Proposal" is defined to mean (x) a bona fide proposal by any person (other than 1855 Bancorp or any subsidiary of 1855 Bancorp) shall have been made to Sandwich or its stockholders to engage in a Change of Control Transaction, (y) any person (other than 1855 Bancorp or any subsidiary of 1855 Bancorp) shall have stated its intention to Sandwich or its stockholders to make a proposal to engage in a Change of Control Transaction if this Agreement terminates or (z) any person (other than 1855 Bancorp or any subsidiary of 1855 Bancorp) shall have filed an application or notice with any Governmental Entity to engage in a Change of Control Transaction); or
