Time Options means the options described in Section 5.1.

Time Options means, collectively, the time vested options, granted to certain Management Stockholders under the Incentive Plan, to purchase shares of Common Stock on the terms set forth therein and in the certificates and agreements issued pursuant thereto.

• If an executive’s employment is terminated, then any 2x Time Options which are forfeited (or 2x option shares which are repurchased) would be re-issued to the other then-remaining Tier 1 Executives or the person who is chosen to replace the forfeiting Tier 1 Executive.

Time Options will be one hundred sixty six thousand (166,000) of the total Options, and will vest over four (4) years in four (4) equal annual installments beginning one year after the applicable date of grant and continuing on each of the next three (3) anniversaries of the applicable date of grant, subject to Executive’s continued employment with the Company. The exercise price of eighty three thousand (83,000) of the Time Options will be five dollars and sixty-three cents ($5.63) per share, or if higher, the closing price of the Company’s common stock on the New York Stock Exchange (the “Fair Market Value”) on the applicable date of grant. The exercise price of the remaining eighty three thousand (83,000) Time Options will be the Fair Market Value on the applicable date of grant.
