Licensee and Sub-Licensee will not represent or imply that they are an agent, joint venturer, partner or employee of Licensor or that their Tire Business or use of Software or the Documentation is sanctioned by Licensor, other than use of Software and Documentation on an “AS IS”.
Such sub-license shall be non-exclusive, non-transferable to use, copy, install, and execute an object code version of Software on any one or more computers, mobile devices (for local applications) or computer networks operated by or on behalf of Sub-licensee (provided that Sub-Licensee will not make Software accessible to the public over its network), for the sole purpose of Sub-Licensee conducting Tire Business in Territory.
Licensee shall use Confidential Information solely in the performance of its Tire Business in Territory under this Agreement.
There is no information or Knowledge of any facts not generally known to the public or Purchaser relating to Parent, COI and ITL or the Industrial Tire Business which, if known to Purchaser, might reasonably be expected to deter Purchaser from completing the transactions contemplated herein.

Licensee agrees that use of Software and Modifications by Licensee is restricted to lawful pursuit of Tire Business in Territory.
