Trade Instrument definition

Trade Instrument means any performance bonds, advance payment bonds or documentary letters of credit issued in respect of the obligations of any member of the Group or Non-Group Entity arising in the ordinary course of trading of that member of the Group or Non-Group Entity.

Examples of Trade Instrument in a sentence

  • In respect of any Trade Service which is undertaken subject to an ICC Rule (including the issuance of a Trade Instrument which is subject to an ICC Rule), your rights and obligations will, subject to Clause 15.2, be subject to such ICC Rule in addition to the relevant terms in the Agreement relating to such Trade Service.

  • You may request a Trade Instrument to be transferable or assignable in the relevant Form.

  • You must fully co-operate with and assist us in any proceedings commenced against us or that we may commence in relation to a Trade Instrument.

  • We and our Correspondent Banks are in no way concerned with, subject to, or bound by, the terms of such contract, even if a reference is included in any document relating to that Trade Instrument.

  • You acknowledge that each Trade Instrument is, by its nature, separate and independent from any contract between you and the beneficiary to which such Trade Instrument relates.

  • If a Trade Instrument is or is to be governed by laws of a jurisdiction other than the jurisdiction where we are located, we may, at your cost, obtain legal advice on the Trade Instrument or the related Documents or obtain a legal opinion to confirm the validity and enforceability of the Trade Instrument.

  • We may agree to your requests to amend the terms of a Trade Instrument.

  • The terms in the Agreement which apply in respect of the issuance of a Trade Instrument which is a SBLC or a BG are also applicable in respect of the issuance of a Counter-Guarantee.

  • Derivative Instrument with respect to a Person, means any contract, instrument or other right to receive payment or delivery of cash or other assets to which such Person or any Affiliate of such Person that is acting in concert with such Person in connection with such Person’s investment in the Notes (other than a Screened Affiliate) is a party (whether or not requiring further performance by such Person), the value and/or cash flows of which (or any material portion thereof) are materially affected by the value and/or performance of the Notes and/or the creditworthiness of the Issuer and/or any one or more of the Guarantors (the “Performance References”).

  • Eligible Instruments means monetary assets, money market instruments and securities that are payable in Dollars only and essentially risk free as to collection of principal and interest, including U.S. Government Obligations.

  • Trust instrument means this Agreement and Declaration of Trust as the same may be amended and restated from time to time.

  • Derivative Instruments means any and all derivative securities (as defined under Rule 16a-1 under the Exchange Act) that increase in value as the value of any Equity Securities of the Company increases, including a long convertible security, a long call option and a short put option position, in each case, regardless of whether (i) such derivative security conveys any voting rights in any Equity Security, (ii) such derivative security is required to be, or is capable of being, settled through delivery of any Equity Security or (iii) other transactions that hedge the value of such derivative security.

  • Financial Instrument means those instruments specified in Section C of Annex I;

  • Debt Instrument means any loan, bond, debenture, promissory note or other instrument evidencing indebtedness (demand or otherwise) for borrowed money or other liability;

  • Short Derivative Instrument means a Derivative Instrument (i) the value of which generally decreases, and/or the payment or delivery obligations under which generally increase, with positive changes to the Performance References and/or (ii) the value of which generally increases, and/or the payment or delivery obligations under which generally decrease, with negative changes to the Performance References.

  • Release Instruments is defined in Section 11.12(f).

  • Material Debt Instrument means any physical instrument evidencing any Indebtedness for borrowed money which is required to be pledged and delivered to the Administrative Agent (or its bailee) pursuant to the Security Agreement.

  • Tier 1 Instruments means any and all (i) securities or other obligations (other than Tier 1 Shares) issued by UBS Group AG or (ii) shares, securities, participation securities or other obligations (other than Tier 1 Shares) issued by a subsidiary of UBS Group AG and having the benefit of a guarantee, credit support agreement or similar undertaking of UBS Group AG, each of which shares, securities, participation securities or other obligations described in clauses (i) and (ii) of this definition qualify, or are issued in respect of a security that qualifies, as Tier 1 Capital of the Group and/or UBS Group AG (without regard to quantitative limits on such capital) on a consolidated (Finanzgruppe) or on an unconsolidated (Einzelinstitut) basis.

  • Service Instructions means such instructions given to the Bank via any Telephone Banking Service;
