In determining what constitutes "reasonably promptly," it is expressly understood that the delivery of the Shares may be delayed by the Company in order to comply with any law or regulation which requires the Company or Travelocity to take any action with respect to the Shares prior to their issuance.

A Participant who ceases to be an employee, director, or consultant of the Employer or of Travelocity for any reason other than termination for cause, Disability, retirement, or death may continue to exercise an Award to the extent that the Award is otherwise vested and exercisable on the date of such termination of service, for a period of three (3) months following such termination (or, if less, the remaining term of the Award).
