Closing Date Term Loan has the meaning specified in Section 2.01(a).
Closing Date Payment has the meaning set forth in Section 2.04(a)(i).
Initial Funding Date means the Funding Date on which the first Loan is made pursuant to this Agreement, as specified in the Initial Borrower Funding Request.
Closing Date Term Loans means the Term Loans made by the Term Lenders on the Closing Date to the Borrower pursuant to Section 2.01(1).
Funding Date is any date on which a Credit Extension is made to or for the account of Borrower which shall be a Business Day.
Additional Closing Date has the meaning set forth in Section 3.
Addition Date means, with respect to the Additional Accounts designated hereby, , .
Delayed Closing Date means the date, set in accordance with section 3, on which the Vendor agrees to Close, in the event the Vendor cannot Close on the Firm Closing Date.
Second Closing Date means the date of the Second Closing.
Closing Date Purchase Price shall have the meaning set forth in Section 2.1 hereof.
Delayed Draw Funding Date means the date occurring on or after the Effective Date upon which all of the conditions to funding the Delayed Draw Term Loan set forth in Section 6.02 are satisfied and the Delayed Draw Term Loan is funded.
Estimated Closing Date Balance Sheet shall have the meaning set forth in Section 2.3(a) hereof.
Class A-2 Final Scheduled Payment Date means the Payment Date occurring in February 2020.
Class A-2 Final Scheduled Distribution Date means the Distribution Date.
Class A-1 Final Scheduled Distribution Date means the Distribution Date.
Scheduled Closing Date Has the meaning specified in the Note Purchase Agreement.
Class B Final Scheduled Payment Date means the Payment Date occurring in June 2021.
Closing Date Cash means Company Cash as of 11:59 P.M. on the date immediately prior to the Closing Date.
Class A-1 Final Scheduled Payment Date means the Payment Date occurring in August 2024.
Closing Deadline means the date and time specified on the RFP Cover Page or any Addenda issued by TO LIVE, as the date and time by which Proponents must submit their Proposal;
Subsequent Closing Date means, with respect to each Subsequent Closing, the date on which such Subsequent Closing is deemed to have occurred.
Class C Final Scheduled Payment Date means the Payment Date occurring in December 2024.
Step-Up Date The first Distribution Date following the first Distribution Date on which the aggregate unpaid principal balance of the Mortgage Loans, and properties acquired in respect thereof, remaining in the Trust Fund has been reduced to less than or equal to 10% of the Aggregate Stated Principal Balance of the Mortgage Loans as of the Cut-off Date.
Deferred Payment Date for a Participant means the date after the Restricted Period which is the earlier of (i) the date which the Participant has elected to defer receipt of Restricted Shares in accordance with Section 4.4 of this Restricted Share Plan; and (ii) the Participant’s Separation Date.
Closing Date Balance Sheet shall have the meaning set forth in Section 2.3(a).
