Trust Confidential Information means (i) securityholder transaction information collected by, provided to or obtained by DST by or on behalf of the Trust in connection with the services provided by DST pursuant to this Agreement including, without limitation, keyed input and electronic capture of such information by such services and all reports and all other output of such services containing such information in a form or content that contains Personal Information that identifies a securityholder or securityholders; (ii) Personal Information; and (iii) all data regarding the Trust and its securityholders that is confidential in nature, is not publicly available or known and is produced as a part of the services provided by DST pursuant to this Agreement as an intermediate step in using or producing any of the Trust Confidential Information, including databases and files containing Trust Confidential Information. As used herein the term “Personal Information” shall mean (i) all records, files, reports and other data relating to the Trust’s customers (including but not limited to all securityholders), provided to DST by or on behalf of the Trust or (ii) all records, files, reports and other data relating to the Trust’s employees, representatives or agents provided to DST, each of (i) and (ii) having been provided or obtained in connection with the services provided by DST pursuant to this Agreement and including but not limited to, accounts, names, phone numbers, addresses and social security numbers, as well as any information derived therefrom. Without limiting the foregoing, Personal Information includes “personally identifiable information”, as that term is defined under any applicable law, and includes any information that may be used to track, locate or identify the Trust’s securityholders (including, without limitation, names, addresses, and account numbers that is collected for, provided to or obtained for DST by or on behalf of the Trust in connection with the services provided by DST pursuant to this Agreement), DST acknowledges that disclosure or misappropriation of Trust Confidential Information in contravention of DST’s obligations under this Agreement may give rise to an irreparable injury to the Trust inadequately compensable in damages. Trust Confidential Information. The term "Trust Confidential Information" means any information that Trust discloses, whether in writing, electronically or orally, to Administrator whether in tangible or intangible form which is identified as confidential at the time of disclosure or which by the circumstances of disclosure or nature of the information would be considered to be confidential. By way of example and not limitation, Trust Confidential Information includes: (i) any information concerning Trust's, its agents or licensors' technology, such as systems, source code, databases, hardware, software, programs, applications, engine protocols, routines, models, displays and manuals, including, without limitation, the selection, coordination, and arrangement of the contents thereof; and (ii) any information concerning Trust's, its agents or licensors' financial or business plans or operations, such as research activities and plans, marketing or sales plans, pricing or pricing strategies, operational techniques, internal controls, compliance policies, methods of operation, security procedures, strategic plans, customer information, and unpublished financial information, including information concerning revenues, profits and profit margins. Administrator agrees that Trust will have no obligation to specifically identify by any notice or other action any information to which the protection of this Agreement extends. Without limiting the foregoing, to the extent disclosed to the Administrator, portfolio holdings information of the Trust shall be deemed to be Confidential Information of the Trust until such time as such portfolio holdings information shall made in a public filing by the Trust. The Administrator shall not purchase or sell securities or other investments on the basis of confidential portfolio holdings information of the Trust provided to the Administrator and shall take reasonable steps to prevent any employee or agent of Administrator from purchasing or selling securities or other investments on the same basis. Restrictions on Use. Without the prior written consent of Trust, Administrator will not use any portion of Trust Confidential Information for any purpose other than for the services provided under this Agreement. Examples of Trust Confidential Information in a sentence

  • In this regard, Fund Services shall have in place and maintain physical, electronic and procedural safeguards to protect the security, confidentiality, availability and integrity of, and to prevent unauthorized access to or use of, all Trust Confidential Information.

  • Records and other information which have become known to the public through no wrongful act of Fund Services or any of its employees, agents or representatives, and information that was already in the possession of Fund Services prior to receipt thereof from the Trust or its agent, shall not constitute Trust Confidential Information.

  • In no event shall Transfer Agent Proprietary Information be deemed Authorized Participant information or Trust Confidential Information.

  • DST shall: (i) restrict entry to DST’s area(s) where Trust Confidential Information is stored, accessed, or processed solely to DST’s personnel or DST authorized third party service providers for such access; and (ii) implement commercially reasonable practices for infrastructure systems, including fire extinguishing, cooling, and power, emergency systems and employee safety.

  • In addition, DST will at least once per year, perform penetration testing on its externally-facing systems that may receive, access, process or store Trust Confidential Information, and will provide Trust with a letter confirming the testing has been performed.

  • DST shall maintain written information security management policies and procedures reasonably designed and implemented to identify, prevent, detect, contain, and correct violations of measures taken to protect the confidentiality, integrity, availability, or security of Trust Confidential Information.

  • DST shall maintain a comprehensive information security program under which DST documents, implements and maintains the physical, administrative, and technical safeguards reasonably designed and implemented to: (a) comply with U.S. laws applicable to DST’s business and (b) protect the confidentiality, integrity, availability, and security of Trust Confidential Information.

  • DST shall not retain any Trust Confidential Information following completion of the applicable services provided under the Agreement, except to the extent: (a) required by U.S. law; (b) expressly required or permitted by Trust in writing: (c) required by DST’s document retention policies; (d) to the extent necessary to comply with Trust’s or DST’s legal or regulatory obligations; or (e) as otherwise permitted in accordance with the Agreement.

  • State Confidential Information means any and all State Records not subject to disclosure under CORA. State Confidential Information shall include, but is not limited to, PII, PHI, PCI, Tax Information, CJI, and State personnel records not subject to disclosure under CORA. State Confidential Information shall not include information or data concerning individuals that is not deemed confidential but nevertheless belongs to the State, which has been communicated, furnished, or disclosed by the State to Contractor which (i) is subject to disclosure pursuant to CORA; (ii) is already known to Contractor without restrictions at the time of its disclosure to Contractor; (iii) is or subsequently becomes publicly available without breach of any obligation owed by Contractor to the State; (iv) is disclosed to Contractor, without confidentiality obligations, by a third party who has the right to disclose such information; or (v) was independently developed without reliance on any State Confidential Information.

  • Fund Confidential Information means Confidential Information for which the Fund is the Disclosing Party.

  • Purchaser Confidential Information means all confidential or proprietary documents and information concerning the Purchaser or any of its Representatives; provided, however, that Purchaser Confidential Information shall not include any information which, (i) at the time of disclosure by the Company, the Seller Representative or any of their respective Representatives, is generally available publicly and was not disclosed in breach of this Agreement or (ii) at the time of the disclosure by the Purchaser or its Representatives to the Company, the Seller Representative or any of their respective Representatives, was previously known by such receiving party without violation of Law or any confidentiality obligation by the Person receiving such Purchaser Confidential Information.   • Company Confidential Information means all confidential or proprietary documents and information concerning the Target Companies or any of their respective Representatives, furnished in connection with this Agreement or the transactions contemplated hereby; provided, however, that Company Confidential Information shall not include any information which, (i) at the time of disclosure by the Purchaser or its Representatives, is generally available publicly and was not disclosed in breach of this Agreement or (ii) at the time of the disclosure by the Company or its Representatives to the Purchaser or its Representatives was previously known by such receiving party without violation of Law or any confidentiality obligation by the Person receiving such Company Confidential Information.

  • Seller Confidential Information has the meaning set forth in Section 6.4.3.

  • Proprietary and Confidential Information means trade secrets, confidential knowledge, data or any other proprietary or confidential information of the Company or any of its affiliates, or of any customers, members, employees or directors of any of such entities, but shall not include any information that (i) was publicly known and made generally available in the public domain prior to the time of disclosure to Executive by the Company or (ii) becomes publicly known and made generally available after disclosure to Executive by the Company other than as a result of a disclosure by Executive in violation of this Agreement. By way of illustration but not limitation, “Proprietary and Confidential Information” includes: (i) trade secrets, documents, memoranda, reports, files, correspondence, lists and other written and graphic records affecting or relating to any such entity’s business; (ii) confidential marketing information including without limitation marketing strategies, customer and client names and requirements, services, prices, margins and costs; (iii) confidential financial information; (iv) personnel information (including without limitation employee compensation); and (v) other confidential business information.

  • Business Confidential Information has the meaning set forth in Section 5.04(a).

  • Confidential Information has the meaning set forth in Section 6.1.

  • Confidential Information Breach means, generally, an instance where an unauthorized person or entity accesses Confidential Information in any manner, including but not limited to the following occurrences: (1) any Confidential Information that is not encrypted or protected is misplaced, lost, stolen or in any way compromised; (2) one or more third parties have had access to or taken control or possession of any Confidential Information that is not encrypted or protected without prior written authorization from the State; (3) the unauthorized acquisition of encrypted or protected Confidential Information together with the confidential process or key that is capable of compromising the integrity of the Confidential Information; or (4) if there is a substantial risk of identity theft or fraud to the client, the Contractor, the Department or State.

  • Supplier's Confidential Information means any information, however it is conveyed, that relates to the business, affairs, developments, trade secrets, Know-How, personnel and suppliers of the Supplier, including IPRs, together with information derived from the above, and any other information clearly designated as being confidential (whether or not it is marked as "confidential") or which ought reasonably to be considered to be confidential;

  • Contractor's Confidential Information means any information, however it is conveyed, that relates to the business affairs, developments, trade secrets, know-how, Contractor’s Personnel and suppliers of the Contractor, including IPRs, together with all information derived from the above, and any other information clearly designated as being confidential (whether or not it is marked as "confidential") or which ought reasonably to be considered to be confidential, including the Commercially Sensitive Information.

  • Company Information As defined in Section 4(a)(i).

  • Proprietary Information shall have the same meaning as Confidential Information.

Confidential and Proprietary Information may be in any medium or form, including, without limitation, physical documents, computer files or discs, electronic communications, videotapes, audiotapes, and oral communications.

  • Confidential personal information means a party’s or a party’s child’s Social Security number; date of birth; driver license number; any other names used, now or in the past; and employer’s name, address, and telephone number.

  • Information has the meaning specified in Section 10.07.

  • Confidential or Proprietary Information means any secret, confidential or proprietary information of the Company or an affiliate (not otherwise included in the definition of a Trade Secret under this Employment Agreement) that has not become generally available to the public by the act of one who has the right to disclose such information without violation of any right of the Company or its affiliates.

  • Keeping information confidential means using discretion in disclosing information as well as guarding against unlawful or inappropriate access by others. This includes:
