TWX Consolidated Group definition

TWX Consolidated Group means any Consolidated Group of which (i) TWX or any of its Affiliates is a member and (ii) AOL or any of its Affiliates is also a member.
TWX Consolidated Group means any consolidated, combined, unitary or similar group of which (i) any member of the TWX Tax Group is or was a member and (ii) any member of the Time Tax Group is or was a member. For the avoidance of doubt, “TWX Consolidated Group” shall not include any group for U.K. Tax purposes of which any member of the IPC Tax Group or the TAEHL Tax Group is or was a member.
TWX Consolidated Group shall not include any group for U.K. Tax purposes of which any member of the IPC Tax Group or the TAEHL Tax Group is or was a member.

Examples of TWX Consolidated Group in a sentence

  • To the extent that any such adjustment or inclusion in one taxable period increases the amount of Ordinary Taxes actually payable by the TWX Consolidated Group in another taxable period, principles consistent with those in Section 2.03(a) shall apply to determine the amount of Ordinary Taxes attributable to the Time Tax Group.

  • Federal income Tax purposes, the taxable year of each member of the Time Tax Group that was a member of the TWX Consolidated Group will close as of the end of the Distribution Date.

  • Cable Estimated Tax Payments shall be made no later than the dates on which payments of estimated tax would be due from the Cable Consolidated Group if it were not included in the TWX Consolidated Group.

  • TWX shall have exclusive and sole responsibility for the preparation and filing of the TWX Consolidated Returns (including requests for extensions thereof) and any other returns, amended returns and other documents or statements required to be filed with the IRS in connection with the determination of the Federal Taxes of the TWX Consolidated Group.

  • For purposes of this Agreement, all determinations made as if the Cable Consolidated Group had never been included in the TWX Consolidated Group and as if all Pro Forma Cable Returns were actual returns shall reflect any actual short taxable years resulting from the Cable Consolidated Group joining or leaving the TWX Consolidated Group.

  • Each member of the TWX Consolidated Group and the Cable Consolidated Group shall cooperate fully with all reasonable requests from the other Company in connection with Transaction Tax Contests.

  • Consolidated Group means the Borrower and all Subsidiaries which are consolidated with it for financial reporting purposes under GAAP.

  • Consolidated Liquidity means, with reference to any period, an amount equal to (a) any Unrestricted Cash of the Borrowers and their Subsidiaries as calculated on a consolidated basis for such period and (b) the Aggregate Commitments of the Lenders minus the outstanding principal amount of all Loans and any issued and outstanding Letters of Credit; provided that the Borrowers are otherwise permitted to borrow such amount pursuant to the terms and conditions of this Agreement at the time such amount is calculated.

  • Consolidated Income Tax Expense means, with respect to any Person for any period, the provision for federal, state, local and foreign income taxes of such Person and its Restricted Subsidiaries for such period as determined on a consolidated basis in accordance with GAAP.

  • Consolidated Return means any Tax Return relating to Income Taxes filed pursuant to Section 1502 of the Code, or any comparable combined, consolidated, or unitary group Tax Return relating to Income Taxes filed under state or local tax law which, in each case, includes IDT and at least one subsidiary.

  • Borrowers on a Consolidated Basis means the consolidation in accordance with GAAP of the accounts or other items of the Borrowers and their respective Subsidiaries.

  • Consolidated Depreciation and Amortization Charges means, for any period, the aggregate of all depreciation and amortization charges for fixed assets, leasehold improvements and general intangibles (specifically including goodwill) of Borrower for such period, as determined on a Consolidated basis and in accordance with GAAP.

  • Consolidated Group Pro Rata Share means, with respect to any Investment Affiliate, the percentage of the total equity ownership interests held by the Consolidated Group in the aggregate, in such Investment Affiliate determined by calculating the greater of (i) the percentage of the issued and outstanding stock, partnership interests or membership interests in such Investment Affiliate held by the Consolidated Group in the aggregate and (ii) the percentage of the total book value of such Investment Affiliate that would be received by the Consolidated Group in the aggregate, upon liquidation of such Investment Affiliate, after repayment in full of all Indebtedness of such Investment Affiliate.

  • Consolidated Entities as of any date of determination, any entities whose financial results are consolidated with those of Kimco in accordance with GAAP.

  • Consolidated Interest Income means, for any period, the interest income of the Consolidated Group for such period, determined on a consolidated basis in accordance with GAAP.

  • Combined Group means a group of corporations or other entities that files a Combined Return.
