Type of Tender definition

Type of Tender. Any and all; subject to minimum majority tender with receipt of exit consents. Conditions: Noteholders may not tender without consenting and may not consent without tendering. All of the conditions precedent to the Offer as set forth in Annex A to the Merger Agreement shall have been satisfied except the condition set forth at paragraph (i); the Company must have evidence that such paragraph (i) will be satisfied upon the Closing of the Debt Offer. Purchaser shall have accepted Shares for payment simultaneously with the acceptance for payment of the Senior Notes. The Financing shall be consummated simultaneously with the acceptance for payment of the tendered Senior Notes. Other conditions typical for transactions of this type and not inconsistent with the foregoing.

  • To deposit Class A Subordinate Voting Shares, the Class A Shareholder must complete Box A, "Type of Tender" on this Letter of Transmittal or, if applicable, on the Notice of Guaranteed Delivery indicating whether he or she is depositing Class A Subordinate Voting Shares pursuant to an Auction Tender or a Purchase Price Tender.

  • To tender Shares, the Shareholder must complete Box A — "Type of Tender" on this Letter of Transmittal or, if applicable, on the Notice of Guaranteed Delivery, indicating whether he or she is tendering Shares pursuant to an Auction Tender (Box B) or a Purchase Price Tender (Box C).

  • Notice of Tender means, in connection with an Optional Tender, a notice, substantially in the form attached to the Tender and Paying Agent Agreement as Exhibit A, delivered by a Beneficial Owner or its Agent Member to the Tender and Paying Agent indicating an intention to tender VRDP Shares for sale on a Purchase Date pursuant to Section 1 of Part II of the Statement.

  • Form of Tender means the form of tender in Part C – Form of Tender to this ITT on which Tenderers are to complete their Tenders;

  • Type of entity means a generic form of entity:

  • Type of Loan means (i) with respect to either Term Loans or Revolving Loans, a Base Rate Loan or a Eurodollar Rate Loan, and (ii) with respect to Swing Line Loans, a Base Rate Loan.

  • Optional Tender means any tender of VRDP Shares by a Beneficial Owner or its Agent Member to the Tender and Paying Agent, other than a Mandatory Tender, for Remarketing or, in the event (i) no Remarketing occurs on or before the Purchase Date, or (ii) pursuant to an attempted Remarketing, VRDP Shares remain unsold and the Remarketing Agent does not purchase for its own account the unsold VRDP Shares tendered to the Tender and Paying Agent for Remarketing (provided that the Remarketing Agent may seek to sell such VRDP Shares in a subsequent Remarketing prior to the Purchase Date), for purchase by the Liquidity Provider pursuant to Section 2 of Part II of the Articles Supplementary and this Agreement.

  • Term SOFR Borrowing means a Borrowing comprised of Term SOFR Loans.

  • Money Market Absolute Rate has the meaning set forth in Section 2.03(d).

  • Money Market Absolute Rate Loan means a loan to be made by a Bank pursuant to an Absolute Rate Auction.

  • Term SOFR Advance means an Advance that bears interest at a rate based on clause (a) of the definition of Term SOFR.

  • Mandatory Tender Notice means, in connection with the Mandatory Tender of VRDP Shares, a notice, substantially in the form attached to the VRDP Shares Remarketing Agreement as Annex II, delivered by the Fund or the Tender and Paying Agent on behalf of the Fund to the Holders and the Liquidity Provider in accordance with this Agreement and specifying a Mandatory Tender Event and Purchase Date.

  • Term SOFR Rate means, with respect to any Term Benchmark Borrowing and for any tenor comparable to the applicable Interest Period, the Term SOFR Reference Rate at approximately 5:00 a.m., Chicago time, two U.S. Government Securities Business Days prior to the commencement of such tenor comparable to the applicable Interest Period, as such rate is published by the CME Term SOFR Administrator.
