UGARF Intellectual Property definition

UGARF Intellectual Property means all Project Intellectual Property invented solely by one or more employees and/or students of Regents at UGA. All right and title in and to UGARF Intellectual Property shall by owned solely by UGARF and is hereby assigned to UGARF.

  • UGARF shall file for, prosecute, and maintain protection for UGARF Intellectual Property and Joint Intellectual Property, as UGARF may elect.

  • However, notwithstanding the foregoing, Sponsor is not required to reimburse UGARF for Patent Expenses incurred with respect to specific UGARF Intellectual Property rights and UGARF’s interest in specific Joint Intellectual Property rights if Sponsor affirmatively and by written notice to UGARF declines to license those rights.

  • Sponsor shall reimburse UGARF for all of UGARF’s actual expenses incurred in filing for, prosecuting, and maintaining any and all UGARF Intellectual Property and Joint Intellectual Property (“Patent Expenses”).

  • UGARF shall use reasonable efforts to file for, prosecute, and maintain protection for any patent and/or other rights among UGARF Intellectual Property and/or Joint Intellectual Property that are timely requested by Sponsor.

  • After the Parties have executed a License Agreement to specific UGARF Intellectual Property and/or Joint Intellectual Property, then that License Agreement shall control with respect to the intellectual property identified therein.

  • Unless and until both Parties have executed a License Agreement to specific UGARF Intellectual Property and/or Joint Intellectual Property, then the following provisions at Sections 8.1-8.5 shall control with respect to such UGARF Intellectual Property and/or Joint Intellectual Property.

  • UGARF shall draft, and the Parties shall execute, one or more fixed-royalty exclusive licenses to UGARF Intellectual Property and UGARF’s interest in Joint Intellectual Property under materially the same terms contained in the template license agreement attached at Appendix D (each, a “License Agreement”).

  • UGARF shall draft, and the Parties shall execute, one or more paid-up, exclusive licenses to UGARF Intellectual Property and UGARF’s interest in Joint Intellectual Property under materially the same terms contained in the template license agreement attached at Appendix D (each, a “License Agreement”).

  • UGARF may in its sole discretion seek legal protection for any UGARF Intellectual Property, and UGARF may file for and prosecute any patent or other applications thereon in UGARF’s sole discretion.

  • UGARF grants to Sponsor an exclusive option to negotiate an exclusive license to UGARF Intellectual Property and/or UGARF’s interest in Joint Intellectual Property (“Option Intellectual Property”).

Related to UGARF Intellectual Property

  • Licensed Intellectual Property means all Intellectual Property in which the Company holds any rights or interests granted by other Persons, including Seller or any of its Affiliates.

  • New Intellectual Property means any Intellectual Property that arises out of, or is created in the course of, the performance of the Contract.

  • Product Intellectual Property means all of the following related to a Divestiture Product (other than Product Licensed Intellectual Property):

  • Intellectual Property the collective reference to all rights, priorities and privileges relating to intellectual property, whether arising under United States, multinational or foreign laws or otherwise, including copyrights, copyright licenses, patents, patent licenses, trademarks, trademark licenses, technology, know-how and processes, and all rights to xxx at law or in equity for any infringement or other impairment thereof, including the right to receive all proceeds and damages therefrom.

  • Joint Intellectual Property means, collectively, Joint Know-How and Joint Patents.

  • Third Party Intellectual Property means the Intellectual Property Rights of a third party which Supplier uses or incorporates into the Work.

  • Foreground Intellectual Property means all Intellectual Property developed by either Party pursuant to this Agreement;

  • Background Intellectual Property means all Intellectual Property introduced and required by either Party to give effect to their obligations under this Agreement owned in whole or in part by or licensed to either Party or their affiliates prior to the Commencement Date or developed after the Commencement Date otherwise pursuant to this Agreement;

  • Excluded Intellectual Property shall have the meaning set forth in Section 1.2(i).

  • Licensed Intellectual Property Rights means any Intellectual Property Rights owned by a third party that a Person has a right to use, exploit or practice by virtue of a license grant, immunity from Legal Action or otherwise.

  • Intellectual Property Right means any patent, trade mark, service mark, copyright, moral right, right in a design, know-how and any other intellectual or industrial property rights, anywhere in the world whether or not registered.

  • Company Licensed Intellectual Property means Intellectual Property Rights owned by any Person (other than a Group Company) that is licensed to any Group Company.

  • Third Party Intellectual Property Rights means any Intellectual Property owned by a third party.

  • Joint Intellectual Property Rights means any work under the Subcontract, which:

  • Company Intellectual Property means all Intellectual Property that is owned or held for use by the Company.

  • Intellectual Property License means any license, permit, authorization, approval, contract or consent granted, issued by or with any Person relating to the use of Intellectual Property.

  • Project Intellectual Property means any Intellectual Property created under, or otherwise in connection with the Project.

  • Transferred Intellectual Property Rights means (a) the Transferred Patents, (b) the Transferred Copyrights, (c) the Transferred Internet Properties, (d) the Transferred Industrial Designs, (e) The Transferred Database Rights,(f) the Transferred Mask Work Rights, (g) the Transferred Trade Secrets, and (h) the Transferred Trademarks.

  • Company Intellectual Property Rights means the Intellectual Property owned or used by the Company or any Company Subsidiary.

  • Transferred Intellectual Property means (a) all Owned Intellectual Property, (b) all Intellectual Property Licenses, and (c) all Technology owned by or licensed to Sellers that is exclusively used in connection with the conduct of the Business as currently conducted (the foregoing constituting the “Transferred Technology”).

  • Intellectual Property Rights (IPR) (11/18) means any patent rights, copyrights, trade secrets, trade names, service marks, trademarks, trade dress, moral rights, know-how and any other similar rights or intangible assets to which rights of ownership accrue, and all registrations, applications, disclosures, renewals, extensions, continuations, or reissues of the foregoing now or hereafter in force. “Key Personnel” (11/18) means the specific individuals identified in Section 3.11 to fill Key Positions.

  • Owned Intellectual Property means all Intellectual Property owned or purported to be owned by the Company or any of its Subsidiaries.

  • Background Intellectual Property Rights means all Intellectual Property Rights owned, controlled, obtained, or licensed by a Party at any time prior to or after the term of this Agreement, or arising from development of Technology created independently of this Agreement.

  • Intellectual Property (IP) means all copyright, rights in relation to inventions (including patent rights and unpatented technologies), plant varieties, registered and unregistered trademarks (including service marks), registered designs, confidential information (including trade secrets and know-how), mask-works and integrated circuit layouts, and all other rights resulting from intellectual activity in the industrial, scientific, literary or artistic fields;

  • Assigned Intellectual Property has the meaning set forth in Section 2.1 (Assigned Intellectual Property).

  • Intellectual Property Licenses means (i) any grant by the Company to another Person of any right, permission, consent or non-assertion relating to or under any of the Purchased Intellectual Property and (ii) any grant by another Person to the Company of any right, permission, consent or non-assertion relating to or under any third Person’s Intellectual Property.
