Underlying Fund Shares definition

Underlying Fund Shares means uncertificated shares of registered “investment companies” (as defined in Section 3(a)(1) of the 1940 Act), whether in the same “group of investment companies” (as defined in Section 12(d)(1)(G)(ii)of the 0000 Xxx) or otherwise excluded from the restrictions imposed by Section 12(d)(1), including pursuant to Section 12(d)(1)(E) and (F), of the 1940 Act.

Underlying Fund Shares means the up to EUR 100,000,000 of Class I Shares in Smart Global Defence Zero Coupon Fineco AM Fund II, a sub-fund of FAM SERIES UCITS ICAV, due 4 July 2030 held by the Company.

  • The records of the Custodian with respect to Underlying Fund Shares which are maintained with the Underlying Transfer Agent shall identify by book-entry those Underlying Fund Shares belonging to each Portfolio.
