References to “Unilever” or “Unilever group” mean Unilever PLC, Unilever N.V. and any company or partnership from time to time in which either or both directly or indirectly owns or controls the voting rights attached to not less than 50% of the issued ordinary share capital, or controls directly or indirectly the appointment of a majority of the board.
If any of such agreements are not executed by any of Unilever PLC, Unilever NV and CMI, this Agreement shall not become effective and the provisions of the original Amended and Restated Stockholders’ Agreement, dated as of May 1, 2006, by and among the Company and the Stockholders shall remain in full force and effect.
This Agreement shall not become effective and binding until, and shall be effective and binding immediately upon, the execution of the MLA, the Restated MSA and the Umbrella Agreement by and among Unilever PLC, Unilever NV and CMI.

For the purposes of this Agreement the following expressions shall, unless the context otherwise requires, have the following meanings: "The Unilever Organisation" means the Company and Unilever N.V. (hereinafter called "N.V.") and all other group companies and associated companies of the Company and N.V. as these categories are applied for the purposes of consolidation in Unilever's annual accounts.
The Company or Unilever N.V., as the case may be, shall cause to be kept in the Borough of Manhattan, The City of New York a register (the register maintained in such office and in any other office or agency of any Issuer in a Place of Payment being herein sometimes collectively referred to as the “Security Register”) in which, subject to such reasonable regulations as it may prescribe, the Issuer shall provide for the registration of registered Debt Securities and of transfers of such Debt Securities.
Subject to Section 6.01, neither the Trustee nor any agent of the Trustee shall be responsible for any failure of the Company or Unilever N.V. to comply with any of their respective covenants contained in this Article.
The recitals contained herein and in the Debt Securities, except the Trustee’s certificates of authentication, shall be taken as the statements of the Company, Unilever N.V., Unilever PLC or Unilever U.S., as the case may be, and neither the Trustee nor any Authenticating Agent assumes any responsibility for their correctness.
If Unilever N.V. is the Issuer of the Debt Security to be converted, as promptly as practicable on or after the conversion date, N.V. shall issue and shall deliver at such office or agency a certificate or certificates for the number of full N.V. Shares issuable upon conversion or shall cause Nedamtrust Certificates to be issued and delivered, together with payment in lieu of any fraction of an N.V. Share, as provided in Section 15.04.
Each Authenticating Agent shall be acceptable to the Company and Unilever N.V., and shall at all times be a corporation organized and doing corporate trust and agency business under the laws of the United States of America, any State thereof or the District of Columbia, authorized under such laws to act as Authenticating Agent, having a combined capital and surplus of not less than $50,000,000 and subject to supervision or examination by Federal or State or District of Columbia authority.
