Unpaid Services definition

Unpaid Services means any Services in respect of which a DCC Event of Default occurs and is continuing at the time the suspension or termination (as appropriate) referred to in the relevant notice takes effect in accordance with Clause 52.14.‌‌
Unpaid Services means Services for which Onyx Point is not entitled to receive a Usage Fee from the User. Note that the use of some Services may result in fees that are due to third parties (such as to your cloud provider or to providers of other applications or services within your stack), or that are due to Onyx Point under an agreement other than this Agreement, but that such fees are not Usage Fees and do not cause the Services to become Paid Services.

Examples of Unpaid Services in a sentence

  • Termination by the Contractor under Clause 40.11.2 shall be deemed to be a Partial Termination and the parties shall comply with the applicable provisions of Clauses 40.8 and 40.9 in relation to (i) a reduction of the Charges to reflect the termination of the Unpaid Services and (ii) agreeing any Changes necessary to the Agreement as a result of the termination of the Unpaid Services.

  • Upon a Termination for Convenience by Galaxy, Galaxy shall not be compensated for any Unpaid Services unless the Unpaid Services constitute a Milestone in which case payment shall be made in accordance with the Milestone schedule set forth in Exhibit B.

  • For Unpaid Services Customers, Catalogic shall use commercially reasonable efforts to make the Cloud Services available to Customer throughout the Term unless this Agreement is terminated earlier, but Catalogic does not guarantee any specific service level.

  • Upon a Termination for Convenience by Tritel, Galaxy shall be compensated for any Services rendered but which have not been paid ("Unpaid Services") on a time and materials basis as set forth in Exhibit B, unless the Unpaid Services constitute a Milestone in which case payment shall be made in accordance with the Milestone schedule set forth in Exhibit B.

  • If this Agreement is terminated without a minimum of the applicable notice (30 days for Paid Services Users and 7 days for Unpaid Services Users), collectively referred to as “Immediate Termination”, the rights granted by Catalogic to Customer under this Agreement will lapse and Customer will immediately cease all use of the Cloud Services and delete (or, at Catalogic’s request, return) any Catalogic Confidential Information in its possession or control.

  • We may terminate your subscription to the Unpaid Services due to your inactivity.

  • We may suspend, limit, or terminate Unpaid Services for any reason at any time without notice.

  • Upon a Termination for Convenience, SpectraSite shall be compensated for any Services rendered but which have not been paid ("Unpaid Services") on a time and materials basis as set forth in Exhibit B.

  • The Directors are of the view that the Unpaid Services are value- added services in addition to the provision of deposit services and loan and other credit services given its insignificant amount involved as compared with that of deposit services and loan and other credit services.

  • The other financial services to be provided by CNAF to the CNAHC Group (including the Unpaid Services and the New Financial Services under the CNAHC Financial Services Agreement) will be carried out on normal commercial terms or better and the aggregate annual fees to be paid by the CNAHC Group to CNAF for such services for each of the three years ending 31 December 2015, 2016 and 2017 is expected to fall below the de minimis threshold as stipulated under Rule 14A.76(1) of the Listing Rules.

Related to Unpaid Services

  • Hosting Services means the provision, administration, and maintenance of servers and related equipment, the provision of bandwidth at the hosting facility, and the operation of the Application for access by Customer Users to be provided by the relevant hosting service provider.

  • Hosted Services means any cloud-based services, hosted service (including hosted services relating to the Licensed Software), software as a service, or other Internet or network-based services provided under the Agreement.

  • Advanced Services refers to high speed, switched, broadband, wireline Telecommunications capability that enables users to originate and receive high-quality, voice, data, graphics or video Telecommunications using any technology.

  • Extra Services means those services set forth in Schedule “B” that are requested by the Municipality for itself or on behalf of its citizens and provided by the Company in accordance with paragraph 7 of this Agreement;

  • Collection Services means all of the duties and obligations of the Contractor hereunder.
