For purposes of this Section, the term "Unrelated Person" shall mean and include any Person other than the Company, or an employee benefit Plan of the Company.

JPM is (i) a “United States person” within the meaning of Section 7701(a)(30) of the Code; (ii) not a “tax-exempt entity” within the meaning of Section 168(h) of the Code; and (iii) an Unrelated Person.
