  • Up Shares will not be registered under the Securities Act and will be issued in reliance upon an exemption thereunder for transactions not involving a public offering.

  • No U.S. federal or state agency or any other government or governmental agency has passed or will pass on, or made or will make any recommendation or endorsement of, the Top Up Shares or the fairness or suitability of an investment in the Top Up Shares.

  • Lock-Up Shares has the meaning set forth in Section 4.1.

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.
