Upsize Amount definition

Upsize Amount means $50,000,000.
Upsize Amount means the amount set out in an Upsize Notice, which when aggregated with all Upsize Amounts shall not exceed the lesser of (i) seventy five per cent of the Conversion Project Price and (ii) one hundred and fifty million Dollars ($150,000,000).
Upsize Amount means the amount set out in an Upsize Notice not to exceed the lesser of (i) such amount as can be lent without breaching the Permitted Upsize Lending Ratio and (ii) (when aggregated with all previous Upsize Amounts) four hundred million Dollars ($400,000,000).

Examples of Upsize Amount in a sentence

  • Notwithstanding the foregoing, the proceeds of the PropCo Preferred Equity Put Rights and the PropCo Preferred Equity Call Rights (other than on account of the PropCo Preferred Equity Upsize Amount), after reducing the principal amount of the CPLV Mezzanine Debt (if any) to be issued to the Holders of Secured First Lien Notes Claims, shall be used to reduce the principal amount of the PropCo Second Lien Notes to be issued to the Holders of Secured First Lien Notes Claims.

  • The aggregate amount of PropCo Second Lien Notes issued by PropCo shall increase by the amount of the PropCo Second Lien Upsize Amount to the extent that not all of the CPLV Market Debt is syndicated to third parties (and provided that the Holders of Prepetition Credit Agreement Claims have not otherwise exercised the CPLV Mezzanine Election).

  • Following each Upsize Trigger Date, the participating Lenders agree to make their Commitments in the Maximum Amount as increased by the relevant Upsize Amount available to the Borrowers.

  • Save in the case of manifest error, such amended Schedules shall be binding on all the parties with effect from the relevant Upsize Trigger Date, and each Lender, whether participating in the Upsize Amount or not, agrees to sign all documents reasonably necessary in connection therewith (but if not so participating shall not be entitled to any additional fee).

  • The Upsize Amount shall be used for the purposes of financing up to seventy five percent (75%) of the Conversion Project Price.

  • If a Security Party is incorporated or formed in a jurisdiction other than England and Wales or if any Finance Document is governed by the laws of a jurisdiction other than England and Wales, a legal opinion of the legal advisers to the Lenders in each relevant jurisdiction, substantially in the form provided to the Agent prior to the Upsize Amount Drawdown Date or confirmation satisfactory to the Agent that such an opinion will be given.

  • If a Security Party is incorporated in a jurisdiction other than England and Wales or if any Finance Document is governed by the laws of a jurisdiction other than England and Wales, a legal opinion of the legal advisers to the Lenders in each relevant jurisdiction, substantially in the form provided to the Agent prior to the Upsize Amount Drawdown Date or confirmation satisfactory to the Agent that such an opinion will be given.

  • The availability of the Upsize Amount shall be subject (inter alia) to the participating Lenders agreeing to the proposed fee payable, each as specified in the relevant Upsize Notice.


More Definitions of Upsize Amount

Upsize Amount is defined in Section 2.2(f).
Upsize Amount means, with respect to any Market Value Event, an amount determined by the Calculation Agent equal to 25% of the Indexed Principal Amount.
Upsize Amount means, with respect to any Market Value Event, an amount determined by the Calculation Agent equal to the greater of (i) 30% of the Indexed Principal Amount and (ii) the amount by which the amount of the Charged Assets would be required to increase in order that such Market Value Event shall no longer occur. If a Market Value Event Notice is given, the holder (or holders, acting together) of all of the Notes (the “100% Noteholder”) shall have the option (the “Upsize Option”) to increase the Principal Amount of the Notes by an amount equal to the relevant Upsize Amount. In order to exercise the Upsize Option, the 100% Noteholder shall notify the Calculation Agent (acting on behalf of the Issuer) on or before the second Business Day following the receipt of the Market Value Event Notice in writing (in such form and manner as shall be reasonably acceptable to the Calculation Agent and including evidence to the satisfaction of the Calculation Agent as to the holding of the 100% Noteholder (provided that the Calculation Agent may assume that the person(s) purporting to be the 100% Noteholder is/are the holder of all the Notes and shall not be liable for so doing)) that it wishes to exercise the Upsize Option and the Calculation Agent shall as soon as reasonably practicable provide such 100% Noteholder with details of the account of the Issuer to which the Upsize Amount shall be paid by the 100% Noteholder.   • Increase Amount is defined in Section 2.3(a).

  • Advance Amount means with respect to Class A Advances, the Class A Advance Amount and, with respect to Class B Advances, the Class B Advance Amount.

  • Available Increase Amount means, as of any date of determination, an amount equal to the result of (a) $50,000,000, minus (b) the aggregate principal amount of Increases to the Revolver Commitments previously made pursuant to Section 2.14 of this Agreement.

  • Commitment Amount means, as the context may require, the Revolving Loan Commitment Amount, the Letter of Credit Commitment Amount or the Swing Line Loan Commitment Amount.

  • Maximum Available Amount means, on any date of determination, an amount equal to the lesser of:

  • Issuance Amount means the aggregate Sales Price of the Shares to be sold by the Agent pursuant to any Issuance Notice.

  • Maximum Incremental Amount means, at any time, the sum of (a) $1,400.0 million minus the Dollar Equivalent amount (measured at the time of incurrence) of New Term Loans, New Revolving Commitments and Permitted Alternative Incremental Facilities Debt previously established or incurred in reliance on this clause (a) plus (b) the aggregate Dollar Equivalent amount (measured at the time of prepayment or reduction) of Term Loans and Revolving Commitments outstanding on the Closing Date (or established pursuant to clause (a) above) that are optionally prepaid or optionally reduced (other than with the proceeds of long-term Indebtedness (other than borrowings under any revolving credit facility) and other than Revolving Commitments replaced with New Revolving Commitments) following the Closing Date and on or prior to such time (and, in the case of any prepayment of Term Loans pursuant to Section 2.08(d), based on the Dollar Equivalent amount (measured at the time of each applicable prepayment) expended by the Borrowers pursuant to such Section 2.08(d) and not the principal amount) plus (c) an unlimited amount so long as, in the case of this clause (c) only, on a pro forma basis (including the application of proceeds therefrom but excluding any increase in cash and cash equivalents and treating any New Revolving Commitments established pursuant to this clause (c) as fully drawn and all Permitted Alternative Incremental Facilities Debt incurred pursuant to this clause (c) as secured by Liens whether or not actually secured (but without giving effect to any substantially simultaneous incurrence of any New Term Loans, New Revolving Commitments or Permitted Alternative Incremental Facilities made pursuant to the foregoing clauses (a) and (b))), the Consolidated Secured Debt Ratio would not exceed 3.00 to 1.00 (it being understood that the Borrowers shall be deemed to have used amounts under clause (c) (to the extent compliant herewith) prior to utilization of amounts under clause (a) or (b)).

  • Available Incremental Amount has the meaning set forth in Section 2.14(d)(v).

  • Committed Amount shall have the meaning assigned thereto in the Pricing Side Letter.

  • Maximum Advance Amount shall be Two Hundred Fifty Thousand Dollars ($250,000) per Advance Notice.

  • L/C Amount means the sum of (i) the aggregate face amount of any issued and outstanding Letters of Credit and (ii) the unpaid amount of the Obligation of Reimbursement.

  • Minimum Tranche Amount has the meaning specified in Section 2.15(b).

  • L/C Commitment Amount has the meaning given to that term in Section 2.3.(a).

  • Maximum Yield Supplement Amount means with respect to any Collection Period and the related Deposit Date, after giving effect to the Yield Supplement Amount, the maximum amount required to be on deposit in the Yield Supplement Account on the immediately succeeding Payment Date, which is equal to the present value (using an interest rate of: 0.25%) of the sum of all Yield Supplement Amounts for all future Payment Dates, assuming that future Scheduled Payments on the Discount Receivables are made on the date on which they are scheduled as being due.

  • Daily Maximum Cash Amount means, with respect to the conversion of any Note, the quotient obtained by dividing (A) the Specified Dollar Amount applicable to such conversion by (B) forty (40).

  • Net advance amount means the gross advance amount less the aggregate amount of the actual and estimated transfer expenses required to be disclosed under section 3(e).

  • Reduction Amount has the meaning set forth in Section 2.05(b)(viii).

  • Quarterly Excess Available Funds Percentage means, with respect to the March 2008 Transfer Date and each Transfer Date thereafter, the percentage equivalent of a fraction the numerator of which is the sum of the Excess Available Funds Percentages with respect to the immediately preceding three Monthly Periods and the denominator of which is three.

  • Maximum Incremental Facilities Amount means, at any date of determination, (a) the sum of (i) $500,000,000, plus (ii) an amount such that the Borrower is in Pro Forma Compliance with the Senior Secured Leverage Test (for the avoidance of doubt without netting any cash from the proceeds of any Indebtedness being incurred in reliance on such test and, if applicable, assuming the full amount of any New Revolving Credit Commitments are drawn), plus (iii) amounts used to incur Indebtedness the Net Cash Proceeds of which are substantially concurrently used to refinance or replace Revolving Credit Commitments and/or Term Loans (including any fees, accrued interest or other amounts owing in respect thereof), plus (iv) from and after the 2012 Extension Effective Date, the aggregate principal amount of 2014 Term Loans outstanding as of such date of determination, provided that such additional amounts pursuant to this clause (iv) are only available to the extent such amounts are used to incur Indebtedness the Net Cash Proceeds of which are substantially concurrently used to prepay 2014 Term Loans in accordance with Section 5.1 of this Agreement (such prepaid 2014 Term Loans, “Incremental Facility Prepaid 2014 Term Loans”) plus (v) the Dollar Equivalent principal amount of Term Loans (other than New Term Loans, Incremental Facility Prepaid 2014 Term Loans or Term Loans refinanced or replaced pursuant to clause (iii) above) voluntarily prepaid pursuant to Section 5.1 prior to such date, plus (vi) the amount of all Revolving Credit Commitments that have either been permanently reduced pursuant to Section 4.2 or have otherwise terminated in accordance with the terms of this Agreement after the 2012 Extension Effective Date (without duplication of the amounts incurred pursuant to clause (iii) above) minus (b) the sum of (i) the aggregate principal amount of New Loan Commitments incurred pursuant to Section 2.14(a) prior to such date and (ii) the aggregate principal amount of Permitted Other Indebtedness issued or incurred pursuant to Section 10.1(bb)(i)(a) prior to such date.

  • Facility Amount means (a) prior to the end of the Revolving Period, $250,000,000, unless this amount is permanently reduced pursuant to Section 2.5 or increased pursuant to Section 2.8, in which event it means such lower or higher amount and (b) from and after the end of the Revolving Period, the Advances Outstanding.

  • Overcollateralization Increase Amount With respect to any Distribution Date, the lesser of (a) the Overcollateralization Deficiency Amount as of such Distribution Date and (b) the Net Monthly Excess Cashflow for such Distribution Date.

  • Incremental Amount has the meaning specified in Section 2.14(a).

  • Fixed Incremental Amount has the meaning specified in the definition of “Permitted Incremental Amount.”

  • Class B-2 Prepayment Percentage As to any Distribution Date, except as set forth in the next sentence, the percentage calculated by multiplying (i) the Subordinated Prepayment Percentage by (ii) a fraction, the numerator of which is the Class B-2 Principal Balance (determined as of the Determination Date preceding such Distribution Date) and the denominator of which is the sum of the Principal Balances of the Classes of Class B Certificates eligible to receive principal distributions for such Distribution Date in accordance with the provisions of Section 4.01(d). Except as set forth in Section 4.01(d)(ii), in the event that the Class B-2 Certificates are not eligible to receive distributions of principal in accordance with Section 4.01(d)(i), the Class B-2 Prepayment Percentage for such Distribution Date will be zero.

  • Designated Amount means the lesser of:
