Veralto Common Stock definition

Veralto Common Stock means the common stock of Veralto, par value $0.01 per share.
Veralto Common Stock shall have the meaning set forth in the Separation Agreement.
Veralto Common Stock has the meaning set forth in the recitals to this Agreement.

Examples of Veralto Common Stock in a sentence

  • None of Xxxxxxx, Veralto or the applicable Distribution Agent will guarantee any minimum sale price for the fractional shares of Veralto Common Stock.

  • Subject to the conditions and other terms set forth in this Article III, Xxxxxxx shall cause the Distribution Agent on the Distribution Date to make the Distribution, including by crediting the appropriate number of shares of Veralto Common Stock to book-entry accounts for each Record Holder or designated transferee or transferees of such Record Holder.

  • At or prior to the Effective Time, in connection with the Internal Reorganization and the Distribution, including the Contribution, Veralto shall pay the Consideration to Xxxxxxx (or Xxxxxxx and Veralto shall take or cause to be taken such other appropriate actions to ensure that Xxxxxxx has the requisite number of shares of Veralto Common Stock) and take any other action as may be requested by Xxxxxxx in order to effect the Distribution.

  • No action by any Record Holder (or such Record Holder’s designated transferee or transferees) shall be necessary to receive the applicable number of shares of Veralto Common Stock (and, if applicable, cash in lieu of any fractional shares) such stockholder is entitled to in the Distribution.

  • Fractional shares of Veralto Common Stock will not be distributed in the Distribution nor credited to book-entry accounts.

  • Effective as of the Distribution Date, Veralto shall have adopted the Veralto 2023 Omnibus Incentive Plan (the “Veralto Stock Plan”), which shall permit the grant and issuance of equity incentive awards denominated in Veralto Common Stock as described in this Article IV.

  • Record Holders who, after aggregating the number of shares of Veralto Common Stock (or fractions thereof) to which such stockholder would be entitled on the Record Date, would be entitled to receive a fraction of a share of Veralto Common Stock in the Distribution, will receive cash in lieu of fractional shares.

  • Notwithstanding the foregoing and except as otherwise set forth in Section 3.5 or Article IV, nothing contained in this Agreement shall require Veralto to make any grants of equity awards relating to shares of Veralto Common Stock to Veralto Employees following the Distribution Date.

  • For Record Holders who own Xxxxxxx Common Stock through a broker or other nominee, their shares of Veralto Common Stock will be credited to their respective accounts by such broker or nominee.

  • Pubco Common Stock means all classes and series of common stock of Pubco, including the Class A Common Stock and Class B Common Stock.

  • Newco Common Stock means the common stock, par value $.01 per share, of Newco.

  • Amalco Common Shares means the common shares in the capital of Amalco;

  • New Common Stock means shares of Common Stock and/or securities convertible into, and/or other rights exercisable for, Common Stock, which are offered or sold in a New Transaction.

  • Holdings Common Stock means the common stock of Holdings, par value $.01 per share.

  • Common Stock means the common stock of the Company, par value $0.001 per share, and any other class of securities into which such securities may hereafter be reclassified or changed.

  • SpinCo Common Stock means the common stock, par value $0.01 per share, of SpinCo.

In the event that at any time, as a result of an adjustment made pursuant to paragraph (a) above, the Warrant Holders shall become entitled to purchase any securities of the Company other than shares of Common Stock, thereafter the number of such other securities so purchasable upon exercise of each Warrant and the Exercise Price of such securities shall be subject to adjustment from time to time in a manner and on terms as nearly equivalent as practicable to the provisions with respect to the Warrant Shares contained in paragraphs (a) through (i), inclusive, above, and the provisions of Section 7 and Section 12.2 through 12.5, inclusive, with respect to the Warrant Shares, shall apply on like terms to any such other securities.

  • Series A Common Stock means the Series A Common Stock, par value $0.01 per share, of the Company.

  • Acquiror Common Stock means the common stock, $0.001 par value per share, of Acquiror.

  • Ordinary Shares means the ordinary shares, par value $0.0001 per share, of the Company.

  • Buyer Common Stock means the common stock, par value $0.01 per share, of Buyer.

  • Old Common Stock means the Company's common stock, par value $.01 per share, outstanding as of the date of the Company's filing of the petition commencing the Chapter 11 Case.

  • Company Common Stock means the common stock, par value $0.01 per share, of the Company.

  • Additional Shares of Common Stock means all shares of Common Stock issued (or, pursuant to Subsection 4.4.3 below, deemed to be issued) by the Corporation after the Series B Original Issue Date, other than (1) the following shares of Common Stock and (2) shares of Common Stock deemed issued pursuant to the following Options and Convertible Securities (clauses (1) and (2), collectively, “Exempted Securities”):

  • Series B Common Stock means the Series B Common Stock, par value $0.01 per share, of the Company.

  • Seller Common Stock means the common stock, par value $0.01 per share, of Seller.

  • Founders’ Common Stock means all of the shares of Common Stock of the Company acquired by an Insider prior to the IPO for a price of approximately $0.005875 per share;

  • Common Shares means the common shares in the capital of the Corporation;

  • Common Stock Consideration has the meaning set forth in Section 1.6(b).

  • Parent Common Stock means the common stock, par value $0.01 per share, of Parent.

  • Common Stock Equivalent means any Convertible Security or warrant, option or other right to subscribe for or purchase any Additional Shares of Common Stock or any Convertible Security.

  • Common Share Price means the volume weighted average per share trading price of the Common Shares on the TSX for the 10 consecutive Trading Day period ending on the Trading Day immediately before the occurrence of a Trigger Event, or if the Common Shares are not then listed on the TSX, the principal stock exchange on which the Common Shares are then listed or quoted (being the stock exchange with the greatest volume of trading in the Common Shares during the previous six months), or if such shares are not listed or quoted on any stock exchange, or if no such trading prices are available, the Floor Price.
