Any certificates issued of the said Minutes already approved, shall be signed by the Secretary, failing which by the Vice-Secretary of the Board of Directors, and countersigned by the Chairman or, in his absence, by the Vice-Chairman.
The Board is also responsible for choosing the Secretary and, should it be the case, the Vice-Secretary.
In the absence of the Secretary, the Vice-Secretary shall act on his or her behalf and may exercise any of his or her powers, including those of signing minutes and issuing certificates.
The Secretary and if appropriate the Vice-Secretary, may or may not be directors, and in the case they will have a voice but no vote.

The Secretary to the Board or, in the absence of the latter, a Vice-Secretary, in the appropriate order where there is more than one, shall act as Secretary, and in the absence thereof, the most recently appointed or, in the case of equality of seniority, the youngest Director shall act in place thereof.
