Vote Required. Assuming the accuracy of the representation and warranty contained in Section 4.18, the affirmative vote of the holders of record of at least two-thirds of the outstanding shares of Company Common Stock with respect to the adoption and approval of this Agreement is the only vote of the holders of any class or series of the capital stock of the Company required to adopt this Agreement and approve the Merger and the other transactions contemplated hereby.

Vote Required. The Parties shall attempt to reach unanimous agreement regarding proposals requiring approval of the Parties. However, in the event that the Parties cannot unanimously agree, (except as otherwise provided in this Agreement), a General Matter shall be decided by an affirmative vote of: one (1) or more of the Parties having a combined voting interest of fifty percent (50%) or more. For General Matters where an AFE is not required with a proposal, a Party shall evidence its vote for approval in writing. A Party failing to vote, or respond timely to a General Matter, shall be deemed to have voted against the proposal.
