Voting Record Time definition

Voting Record Time means the time and date to be specified as the voting record time for the Scheme Meeting (or any adjournment thereof) in the Scheme Document;
Voting Record Time means the time and date specified in the Scheme Document by reference to which entitlement to vote on the Scheme will be determined, expected to be 6.00 p.m. on the day which is two days before the date of the Court Meeting or, if the Court Meeting is adjourned, 6.00 p.m. on the day which is two days before the date of such adjourned Court Meeting; and
Voting Record Time has the meaning given to it in the Announcement; and

Examples of Voting Record Time in a sentence

  • Changes to entries in the Register after the Voting Record Time will be disregarded in determining the rights of any person to attend and/or vote at the General Meeting.

  • The number of Ordinary Shares a Shareholder holds as at the Voting Record Time will determine how many votes a Shareholder or his proxy will have in the event of a poll.

  • If the meeting is adjourned to a time not more than 48 hours after the Voting Record Time, that time will also apply for the purpose of determining the entitlement of members to attend and vote (and for the purposes of determining the number of votes they may cast) at the adjourned meeting.

  • Entitlement to attend and vote at the EGM and the number of votes which may be cast at the meeting will be determined by reference to the Register of Members at the Voting Record Time.

  • At the Court Meeting, voting will be by poll and each Scheme Shareholder present in person or by proxy will be entitled to one vote for each Scheme Share held as at the Voting Record Time.

All times referred to in this Announcement are Irish times unless otherwise stated.APPENDIX III CONDITIONS OF THE ACQUISITION AND THE SCHEME The Acquisition and the Scheme will comply with the Takeover Rules, the Act and where relevant, the Listing Rules, and will be subject to the terms and conditions set out in this Announcement and to be set out in the Scheme Document. The Acquisition and the Scheme are governed by the Laws of Ireland and subject to the exclusive jurisdiction of the courts of Ireland. The Acquisition and the Scheme will be subject to the following conditions:

Voting Record Time means the time and date specified in the Scheme Document by reference to which entitlement to vote on the Scheme will be determined, expected to be 6:00 pm (London time) on the day which is two days before the date of the Court Meeting or, if the Court Meeting is adjourned, 6:00 pm on the day which is two days before the date of such adjourned Court Meeting; and
Voting Record Time means 6.00pm on the day two days prior to the date of the Court Meeting or any adjournment thereof (as the case may be), in each case excluding any day that is not a Business Day;
