Waiver Termination Date definition

Waiver Termination Date means the earlier of:

Waiver Termination Date means the earliest to occur of (i) 5:00 p.m. (Chicago time) on January 31, 2008 and (ii) the date on which the Administrative Agent delivers to the Borrower a notice terminating the Waiver Period, which notice may be delivered upon the direction of the Required Lenders acting in their sole discretion at any time (a) following the occurrence and during the continuation of a Waiver Default or (b) following the occurrence of a Special Termination Event.

Waiver Termination Date means the earlier to occur of (a) November 15, 2002 and (b) the date on which the Second Collateral Call Extension Letter terminates in accordance with paragraph 6 thereof.

Examples of Waiver Termination Date in a sentence

• The waivers provided pursuant to the terms of this Agreement shall automatically and without further action or notice by any party expire on the Limited Waiver Termination Date (as defined below).

• On the Waiver Termination Date, without any further action by the Agent and Lenders, all of the terms and provisions set forth in the Loan Documents shall have the same force and effect as if this Letter Waiver had not been entered into by the parties hereto, and the Agent and the Lenders shall have all of the rights and remedies afforded to them under the Loan Documents as though no waiver had been granted by them hereunder.

• In the event that the Waiver Termination Date is December 31, 2007, and provided such Waiver Termination Date is not extended pursuant to agreement between the parties to this Agreement, the waiver shall cease to be effective commencing on January 1, 2008.
