Notwithstanding the foregoing, if the Company has not delivered its 2006 Audited Financial Statements to the Warrantholder by the Warrant Adjustment Date, thereafter, the 2006 Adjusted Share Amount shall equal 15.625% of the Effective Date Voting Common Stock.
