Warrant Redemption definition

Warrant Redemption means the redemption of all our outstanding Warrants, which was completed on February 27, 2023 and as described in the notice of redemption dated as of January 26, 2023.
Warrant Redemption means the redemption of all our outstanding warrants on January 26, 2022 as described in the notice of redemption dated December 27, 2021.
Warrant Redemption has the meaning set forth in Section 2.9(a).

  • Notwithstanding anything to the contrary contained herein, if the FT Closing Date occurs prior to the foregoing thirty (30) day time period, the Company or Successor Entity (as the case may be) may pay the Warrant Redemption Price on the FT Closing Date and thereafter, if all the redemption procedures required herein including Section 8 are followed and the Warrant is redeemed in full, this Warrant shall terminate.

  • Without limiting any rights of the holders of Redemption Warrant which are set forth in this Warrant or are otherwise available under law, any Redemption Warrant which the Company has become obligated to redeem on any Warrant Redemption Date but which it has not redeemed shall continue to have all of the powers and rights which such Redemption Warrant had prior to such Warrant Redemption Date, until the aggregate Warrant Redemption Price for such Redemption Warrant has been paid in full.

  • Commencing on the Warrant Redemption Trigger Date and continuing until the Expiration Date, and subject to the prior satisfaction of the conditions precedent in SECTION 3.6.2, the Company shall have the right, upon delivery of written notice to the holder ("REDEMPTION NOTICE"), to redeem any then unexercised portion of this Warrant (a "WARRANT REDEMPTION").

  • With respect to any attempted exercise by the Company of the Warrant Redemption, during the 30 trading days immediately preceding the date on which the Redemption Form and payment are delivered to the holder (the "REDEMPTION LOOK-BACK PERIOD") the average dollar trading volume for the lowest 20 dollar volume trading days is at least $400,000.

  • If this Warrant is not exercised in full by the holder within five Business Days after the Redemption Notice is given, the Warrant Redemption may be exercised by the Company by delivering the payment of the Warrant Redemption Price for the number of Warrant Shares being redeemed to the holder of his Warrant at the address of the holder provided to the Company, together with the Redemption Form attached hereto as EXHIBIT C, duly completed and signed.

  • Concurrently upon closing of such Major Transaction, the Company shall pay or shall instruct the escrow agent to pay the Major Transaction Warrant Redemption Price and/or to deliver the applicable Exercise Shares to the Holder.

  • Notwithstanding anything to the contrary in this Section 5, until the Major Transaction Warrant Redemption Price and/or Major Cashless Exercises is paid in full, this Warrant may be exercised, in whole or in part, by the Holder into shares of Common Stock, or in the event the Exercise Date is after the consummation of the Major Transaction, shares of publicly traded common stock (or their equivalent) of the Successor Entity pursuant to Section 5(c).

  • The Company has effected a Major Transaction without paying the Major Transaction Warrant Redemption Price, if applicable, to the Holder pursuant to Section 5(c)(iii) (other than due to the limitation contained in the proviso in Section 5(c)(iii)(y)) or, with respect to a Major Transaction that is to be treated as an Assumption under the terms hereof, the Company has failed to meet the Assumption requirements of Section 5(c)(iii) prior to effecting the Major Transaction.

  • This Warrant may be redeemed by the Company by giving written notice of such redemption ("Warrant Redemption Notice") to the Holder on or prior to the last day of the sixtieth (60th) full calendar month after the Warrant Issue Date (the "Redemption").

  • Optional Redemption Pricing Date means a Valuation Date on which a Redemption Order is determined to be valid and accepted by or on behalf of the Issuer in accordance with the terms of the LS Operating Procedures Agreement.

  • Redemption Notice means a notice in a form approved by the Company by which a holder of Public Shares is entitled to require the Company to redeem its Public Shares, subject to any conditions contained therein.
