Officer’s Compliance Certificate means a certificate of the chief financial officer or the treasurer of the Borrower substantially in the form attached as Exhibit F.
Covenant Compliance Certificate means a properly completed and executed Covenant Compliance Certificate substantially in the form of Exhibit X hereto.
U.S. Tax Compliance Certificate has the meaning specified in Section 3.01(e)(ii)(B)(III).
Financial Officer Certification means, with respect to the financial statements for which such certification is required, the certification of the chief financial officer of the Borrower that such financial statements fairly present, in all material respects, the financial condition of the Borrower and its Subsidiaries as at the dates indicated and the results of their operations and their cash flows for the periods indicated, subject to changes resulting from audit and normal year-end adjustments.
Certificate of a Firm of Independent Public Accountants means a certificate signed by an independent public accountant or a firm of independent public accountants who may be the independent public accountants regularly retained by the Company or who may be other independent public accountants. Such accountant or firm shall be entitled to rely upon an Opinion of Counsel as to the interpretation of any legal matters relating to such certificate.
United States Tax Compliance Certificate has the meaning specified in Section 3.01.
Pick Up Report means the report detailing the number of sleeping rooms per day actually used out of the Program’s room block.
Permanent Secretary means the Permanent Secretary of the Ministry responsible for Health;
Delaware Secretary means the Secretary of State of the State of Delaware.
Commercially available off-the-shelf (COTS) item means a COTS item as defined in FAR 2.101
Tax Compliance Certificate as defined in Section 5.9.2(b)(iii).
Pro Forma Compliance Certificate means a certificate of a Responsible Officer of the Borrower containing reasonably detailed calculations of the financial covenants set forth in Section 7.11 recomputed as of the end of the period of the four fiscal quarters most recently ended for which the Borrower has delivered financial statements pursuant to Section 6.01(a) or (b) after giving effect to the applicable transaction on a Pro Forma Basis.
Responsible Financial Officer means, with respect to any Person, the chief financial officer or treasurer of such Person or any other officer, partner or member having substantially the same authority and responsibility.
Affidavit of Small Business Enterprise Certification means the fully completed, signed, and notarized affidavit that must be submitted with an application for SBE certification. Representations and certifications made by the applicant in this Affidavit are made under penalty of perjury and will be used and relied upon by City to verify SBE eligibility and compliance with SBE certification and documentation requirements.
Compliance Certificate means a certificate substantially in the form of Exhibit D.
Secretary means the Secretary of the Department of Health and Human Services or his designee.
Authorized Financial Officer any of the chief financial officer, treasurer, assistant treasurer or controller of the Borrower.
Financial Officer means the chief financial officer, principal accounting officer, treasurer or controller of the Borrower.
