The Administrative Agent shall have received from the Company the Historical Financial Statements, which shall be accompanied by, in the case of unaudited consolidated financial statements, a Financial Officer Certification of the Company thereon.
As of the Closing Date, (i) the Three-Year Forecast, (ii) the Historical Financial Statements, (iii) a Financial Officer Certification, and (iv) Servicing Reports for the most recent calendar month period completed five Business Days after the last day of the preceding calendar month.
