Weston Group definition

Weston Group means (i) Galen G. Weston (“GGW”); (ii) his spouse; (iii) any lineal descendant of GGW (treating for this purpose, for greater certainty, any legally adopted descendants as a lineal descendant); (iv) the estate trustee of any person listed in clauses (i) to (iii); (v) any trust (whether testamentary or inter vivos) primarily for the lineal descendants of GGW, spouses of such lineal descendants, GGW himself or his spouse; and/or (vi) any and all corporations which are directly or indirectly controlled by one or more of the foregoing, provided that for the purposes of this definition, “control” of a corporation means the ownership of, or control or direction over, more than 50% of the total voting interest entitled (without regard to the occurrence of any contingency) to vote in the election of the board of directors and the votes attached to such voting interest are sufficient, if exercised, to elect a majority of the board of directors of such corporation and “spouse” includes a person’s widow or widower.
