Where one party has given instructions to terminate Escrow and the other has failed to give any instructions, Escrow Agent shall comply with instructions given by the first Party if the second Party has not given Escrow Agent instructions within five (5) Business Days after Escrow Agent's notice of such failure.

Examples of Where one party in a sentence

  • Where one party transfers personal data (as defined in the DPA) to another for processing, the receiving party will process that data only for the period of and to the extent necessary for the performance of the Contract; will take measures to keep it secure; and, where it transfers personal data outside the European Economic Area or to any subcontractor to ensure that it is adequately protected.

  • Where one party refers a grievance to arbitration in accordance with this Article, either that party or following 12 months, the party to whom the notice was delivered, may inquire regarding the availability of the arbitrator(s), and make arrangements for the hearing.
