• The Whitehall Group, the Blackstone Group, and the Berkshire Group shall each appoint one arbitrator within ten (10) business days of notice from a party that arbitration is requested.

• The Company will be responsible for the payment of all bonuses for the calendar year 2000 in the amounts agreed by WCPT and the Whitehall Group, to be allocated among the existing employees as determined by New Manager in its sole discretion, subject to contractual commitments.

• Any liability of New Manager for wrongful or illegal distributions (e.g., because the Company was or became insolvent upon the distribution or because the Company did not adequately reserve for liabilities) will be borne by the Whitehall Group and WCPT pro rata in accordance with their relative Percentage Interests.

• Amounts to be funded by the Whitehall Group will be allocated among the members of the Whitehall Group as they determine.

• Notwithstanding the foregoing, each of the members of the Whitehall Group and each of the members of the SVI Group shall be entitled to assign its rights under this Agreement to any Investor (as such term is defined herein).
