  • NTELOS will deliver to Computershare, as distribution agent (the “Distribution Agent”), for the benefit of holders of record of NTELOS Common Stock at the close of business on the Record Date (the “Record Holders”) a stock certificate representing (or authorize the related book-entry transfer of) all outstanding shares of Wireline Common Stock and will order the Distribution Agent to effect the Distribution in the manner set forth in Section 3.02.
